This Purchase Order is issued by Mekong Aerospace Solutions Co., Ltd., headquartered in Vietnam Ho Chi Minh City, to formally procure the professional services of a qualified Aerospace Engineer for the duration of the project described herein. The engagement of this Aerospace Engineer is critical to the completion of the composite airframe structural analysis and propulsion system integration programme currently underway at our facility in Vietnam Ho Chi Minh City. The Aerospace Engineer shall be responsible for delivering technical expertise in aerodynamic modelling, flight dynamics simulation, materials science assessment, and compliance verification in accordance with ICAO and FAA regulatory standards applicable to operations conducted in Vietnam Ho Chi Minh City and the broader Southeast Asian aviation corridor.

The Aerospace Engineer engaged under this Purchase Order shall perform all duties at the primary project site located at 128 Nguyen Van Linh Street, Binh Thanh District, Vietnam Ho Chi Minh City. Key deliverables include, but are not limited to: (a) completion of finite element analysis reports for the composite fuselage sections; (b) delivery of propulsion system integration documentation compliant with AS9100D quality management standards; (c) preparation of aerodynamic performance data packages for the 14-seat regional turboprop programme; (d) coordination with the Civil Aviation Authority of Vietnam (CAAV) for type certification milestones; and (e) execution of a structured knowledge transfer programme to ensure the in-house engineering team in Vietnam Ho Chi Minh City achieves operational independence by the conclusion of the contract period.
5. Terms and Conditions- This Purchase Order constitutes a binding agreement between the Purchasing Party and the Supplier upon signature by both authorised representatives. All services shall be rendered in accordance with the specifications outlined in Annex A (attached separately) and the applicable laws of the Socialist Republic of Vietnam, particularly those governing foreign professional services in Vietnam Ho Chi Minh City.
- The Aerospace Engineer shall hold a minimum of a Master's degree in Aerospace Engineering or a related discipline, possess a valid Professional Engineer (PE) or Chartered Engineer (CEng) designation, and demonstrate a minimum of ten (10) years of progressive experience in commercial or defence aerospace programmes.
- Payment shall be made in United States Dollars (USD) via international wire transfer to the account designated by the Supplier. Invoices shall be submitted monthly, and payment is due within thirty (30) calendar days of the invoice date. Late payments shall accrue interest at a rate of 1.5% per month.
- The Supplier shall ensure that the Aerospace Engineer obtains all necessary work permits, visas, and professional registration required to legally practise engineering in Vietnam Ho Chi Minh City. All associated government fees shall be borne by the Supplier unless otherwise agreed in writing.
- Confidentiality: All technical data, proprietary designs, and project documentation shared in connection with this Purchase Order shall be treated as strictly confidential. The Aerospace Engineer shall execute a Non-Disclosure Agreement (NDA) prior to commencing work at the Vietnam Ho Chi Minh City facility.
- Intellectual Property: All work product, designs, analyses, and documentation created by the Aerospace Engineer in the course of this engagement shall be the sole property of Mekong Aerospace Solutions Co., Ltd. The Supplier and the Aerospace Engineer hereby assign all rights, title, and interest in such work product to the Purchasing Party.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Purchasing Party shall pay for all services rendered up to the effective date of termination, and the Aerospace Engineer shall deliver all completed and in-progress documentation to the Vietnam Ho Chi Minh City project office.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Singapore International Arbitration Centre (SIAC). The seat of arbitration shall be Singapore, and the language of proceedings shall be English.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, pandemics, or civil unrest affecting Vietnam Ho Chi Minh City or the Supplier's home jurisdiction.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the Socialist Republic of Vietnam. The courts of Vietnam Ho Chi Minh City shall have exclusive jurisdiction over any matters not subject to arbitration as specified in Clause 7.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Aerospace Engineer in Vietnam Ho Chi Minh City. This document is executed in two (2) original copies, one for each party.
