This Purchase Order is issued by Constructora Andina del Pacífico SpA to formally engage the services of Arq. Valentina Fuentes Herrera, a licensed Architect registered with the Colegio de Arquitectos de Chile, for the design, planning, and technical oversight of the "Torre Mirador" commercial and residential development project located in the commune of Ñuñoa, Chile Santiago. The Architect shall be responsible for the complete architectural scope of the project as detailed below:

Payment for the Architect services outlined in this Purchase Order shall be made in Chilean Pesos (CLP) via bank transfer to the account designated by the Architect. The payment schedule is structured as follows:

• 30% advance payment (CLP $19,278,000) upon execution of this Purchase Order and receipt of the first invoice.
• 40% milestone payment (CLP $25,704,000) upon approval of the detailed Architectural Design and submission of the permit application to the Chile Santiago municipal authority.
• 20% progress payment (CLP $12,852,000) upon completion of the 7th site inspection during the construction phase.
• 10% final payment (CLP $6,426,000) upon delivery of the complete As-Built documentation and final handover certification.

All invoices must be issued in accordance with Chilean tax regulations (Factura Electrónica) and must reference this Purchase Order number PO-CL-2025-004782. Payment terms are net 30 days from the date of invoice receipt.

1. The Architect warrants that all services rendered under this Purchase Order shall comply with the professional standards established by the Colegio de Arquitectos de Chile and all applicable building regulations in Chile Santiago.
2. The Architect shall maintain valid professional liability insurance with a minimum coverage of CLP $50,000,000 throughout the duration of the engagement specified in this Purchase Order.
3. All intellectual property rights in the architectural designs, drawings, BIM models, and documentation produced under this Purchase Order shall transfer to Constructora Andina del Pacífico SpA upon full payment.
4. The Architect shall comply with all environmental regulations applicable to construction projects in Chile Santiago, including those issued by the Superintendencia del Medio Ambiente.
5. Either party may terminate this Purchase Order with 30 days written notice. In the event of termination, the Architect shall be compensated for all services rendered up to the termination date.
6. Any disputes arising from this Purchase Order shall be resolved through arbitration in Chile Santiago, in accordance with the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Santiago.
7. This Purchase Order is governed by and shall be interpreted in accordance with the Civil Code of Chile and the Commercial Code of Chile.

This Purchase Order shall remain valid for acceptance for a period of fifteen (15) calendar days from the date of issue. The Architect must sign and return a copy of this Purchase Order to confirm acceptance of all terms and conditions herein. Failure to respond within the validity period shall constitute a rejection of this Purchase Order.
