This Purchase Order is issued by Guangzhou Urban Development Group Co., Ltd. (hereinafter referred to as the "Purchaser") to Guangzhou Meridian Architectural Design Institute Co., Ltd. (hereinafter referred to as the "Architect") for the provision of comprehensive architectural design, engineering coordination, and project management consulting services for the Tianhe Phase II Mixed-Use Commercial and Residential Complex located in Tianhe District, Guangzhou, China. The Architect shall deliver all design documentation, construction drawings, and advisory services in strict compliance with the national building codes of the People's Republic of China, the local regulations of Guangzhou Municipality, and the specific technical requirements outlined in the attached Scope of Work (Appendix A).

The Architect is responsible for the full lifecycle of architectural design, including but not limited to: conceptual design development, schematic design, design development, construction documentation, tender documentation, and construction-phase site supervision. All deliverables must be produced in accordance with the Chinese National Standard GB 50352-2019 (Standard for Design of Civil Buildings) and the Guangzhou Municipal Urban Planning and Construction Management Regulations.

Payment shall be made in Renminbi (CNY) via bank transfer to the Architect's designated account. The schedule is as follows:

• Milestone 1 (20%): CNY 3,080,360.00 — Upon execution of this Purchase Order and commencement of conceptual design.
• Milestone 2 (25%): CNY 3,850,450.00 — Upon approval of Schematic Design by the Purchaser's project committee.
• Milestone 3 (30%): CNY 4,620,540.00 — Upon submission and approval of full Construction Documentation.
• Milestone 4 (20%): CNY 3,080,360.00 — Upon completion of 50% of the construction-phase supervision period.
• Milestone 5 (5%): CNY 770,090.00 — Upon final project handover and issuance of the Architect's completion certificate.

Payment shall be processed within thirty (30) calendar days of receipt of a valid VAT invoice (fapiao) from the Architect. Late payments shall accrue interest at 0.05% per day in accordance with Chinese commercial practice.

1. This Purchase Order is governed by the Civil Code of the People's Republic of China and applicable laws of Guangdong Province, Guangzhou Municipality.
2. The Architect warrants that all design work shall be original, free of intellectual property infringement, and compliant with all applicable Chinese national and local building standards.
3. The Architect shall maintain professional indemnity insurance with a minimum coverage of CNY 20,000,000 for the duration of the project.
4. Any changes to the scope of work must be documented in a written Change Order signed by both parties before execution. The Purchaser reserves the right to request up to three (3) design revisions per phase at no additional cost.
5. The Architect shall comply with all environmental, safety, and labor regulations applicable in Guangzhou, China, including the Guangzhou Construction Project Safety Management Regulations.
6. Confidentiality: All project data, site plans, and proprietary information exchanged under this Purchase Order shall be treated as strictly confidential by the Architect for a period of five (5) years following project completion.
7. Disputes arising from this Purchase Order shall first be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the Guangzhou Arbitration Commission for binding arbitration in accordance with its rules.
8. This Purchase Order becomes effective upon signature by authorized representatives of both parties and is valid for a period of ninety (90) days from the date of issue.

This Purchase Order document is issued in duplicate. One copy is retained by the Purchaser and one copy is provided to the Architect. Both copies carry equal legal validity. This document is prepared in accordance with the procurement policies of Guangzhou Urban Development Group Co., Ltd. and the regulatory framework of the Guangzhou Municipal Housing and Urban-Rural Development Bureau.
