This Purchase Order is issued by Mediterranean Development Group Ltd. (hereinafter referred to as the "Buyer") to Studio Lev Architecture & Design Ltd. (hereinafter referred to as the "Architect") for the provision of comprehensive architectural design, planning, and project management services in connection with the construction of a 12-unit residential complex located at 27 Allenby Street, Tel Aviv-Yafo, Israel. The Architect shall be responsible for all phases of design from conceptual planning through to final construction documentation, in full compliance with the Building Code of Israel, the Town Planning and Building Law, 5725-1965, and all applicable municipal regulations of the Tel Aviv-Yafo Municipality.

Payment shall be made in accordance with the following milestone schedule, with each invoice due within 30 days of receipt:

• Milestone 1 (20%): Upon completion and approval of the conceptual design phase — 104,628 ILS
• Milestone 2 (35%): Upon submission of full construction drawings to the Tel Aviv-Yafo Municipality — 216,000 ILS
• Milestone 3 (25%): Upon receipt of building permit and commencement of construction supervision — 154,285 ILS
• Milestone 4 (20%): Upon completion of construction supervision and delivery of as-built documentation — 142,227 ILS

All payments shall be made via bank transfer to the Architect's designated account in New Israeli Shekels (ILS). Late payments shall accrue interest at the rate prescribed under the Late Payment Interest Law, 5756-1996, as amended.

1. This Purchase Order is governed by and shall be construed in accordance with the laws of the State of Israel. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv-Yafo, Israel.
2. The Architect warrants that all services rendered shall be performed in a professional and workmanlike manner, in compliance with the Israeli Architects Association Code of Ethics and all applicable professional standards in Israel Tel Aviv.
3. The Architect shall maintain professional indemnity insurance with a minimum coverage of 2,000,000 ILS for the duration of the engagement. A certificate of insurance shall be provided to the Buyer prior to commencement of work.
4. All intellectual property rights in the architectural drawings, designs, and documentation produced under this Purchase Order shall vest in the Buyer upon full payment. The Architect retains the right to display the completed project in professional portfolios subject to the Buyer's written consent.
5. The Architect shall comply with all applicable Israeli labor laws, tax obligations, and professional regulations. The Architect is an independent contractor and not an employee of the Buyer.
6. Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination.
7. Confidentiality: The Architect shall treat all project information, site plans, and client data as strictly confidential and shall not disclose such information to any third party without prior written consent of the Buyer.
8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies as defined under Israeli law.
9. This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements.
