This Purchase Order governs the engagement of Architect services for a commercial development project located in Japan Tokyo.

This Purchase Order is issued by Sumitomo Development Holdings Co., Ltd. (hereinafter referred to as the "Purchaser") to Fujimoto & Associates Architectural Design Office (hereinafter referred to as the "Architect") for the provision of comprehensive architectural design and consultancy services for the construction of a 32-storey mixed-use commercial and residential tower in the Marunouchi district of Japan Tokyo. The Architect shall be responsible for all phases of design, from conceptual planning through to construction supervision, in full compliance with the Building Standards Act of Japan, the Tokyo Metropolitan Government building regulations, and all applicable seismic design codes (AIJ Standard for Seismic Design of Buildings, 6th Edition).

The Architect shall deliver all drawings, specifications, and technical documentation in both Japanese and English. All design submissions must be reviewed and approved by the Chuo-ku Building Standards Review Committee prior to the issuance of a building permit in Japan Tokyo.

Payment shall be made in Japanese Yen (JPY) via bank transfer to the Architect's designated account at Mizuho Bank, Ginza Branch, Japan Tokyo. Invoices shall be submitted monthly in accordance with the following milestone schedule:

• Phase A (Conceptual Design): 20% upon approval of the concept presentation – due within 30 days of invoice.
• Phase B (Schematic Design): 25% upon submission of schematic drawings – due within 30 days of invoice.
• Phase C (Detailed Design): 30% in three equal monthly instalments during the design period – due within 30 days of each invoice.
• Phase D (Permit Support): 10% upon receipt of building permit from Chuo-ku, Japan Tokyo – due within 30 days.
• Phase E (Construction Supervision): 10% paid monthly in arrears – due within 15 days of each monthly invoice.
• Phase F & G (Interior & Handover): 5% upon final handover and acceptance – due within 45 days.

1. This Purchase Order is governed by the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Tokyo under the rules of the Japan Commercial Arbitration Association (JCAA).
2. The Architect warrants that all services rendered under this Purchase Order shall be performed in a professional and workmanlike manner, consistent with the standards of practice established by the Japan Institute of Architects (JIA).
3. The Architect shall maintain professional indemnity insurance with a minimum coverage of JPY 500,000,000 for the duration of the project in Japan Tokyo.
4. All intellectual property rights in the design documents, BIM models, and drawings produced under this Purchase Order shall vest in the Purchaser upon full payment. The Architect retains the right to display the completed project in their portfolio.
5. The Architect shall comply with all applicable environmental regulations in Japan Tokyo, including the Tokyo Metropolitan Government's Green Building Guidelines and the Act on Promotion of Greenhouse Gas Reduction.
6. Any variation to the scope of work must be documented in a written Variation Order signed by both parties prior to execution. No verbal instructions shall constitute a valid amendment to this Purchase Order.
7. The Architect shall not subcontract any portion of the Architect services without prior written consent from the Purchaser. All subcontractors must be registered in Japan Tokyo and hold valid professional licences.
8. Force majeure events, including but not limited to earthquakes, typhoons, or government-mandated lockdowns in Japan Tokyo, shall extend the delivery schedule proportionally without penalty to either party.
9. This Purchase Order shall remain in full force and effect until all obligations of both parties have been discharged and final payment has been received by the Architect.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Architect for the Marunouchi Tower project in Japan Tokyo.
