1. Description of Purchase Order — Architect ServicesThis Purchase Order is issued by the Kathmandu Urban Development Authority (hereinafter referred to as the "Purchaser") to Studio Himalaya Architects & Planners (hereinafter referred to as the "Architect" or "Supplier") for the provision of comprehensive architectural design, planning, and consultancy services for the construction of the Kathmandu Valley Integrated Community Health Centre, located in Lalitpur Municipality, Nepal Kathmandu Metropolitan Area. This Purchase Order constitutes a binding agreement between the Purchaser and the Architect for the scope of work, deliverables, payment terms, and professional obligations as detailed herein.

3.1 Payment shall be made in Nepalese Rupees (NPR) via bank transfer to the Architect's designated account at Nabil Bank, Kathmandu Branch, within fifteen (15) calendar days of receipt of a valid invoice and approval of the corresponding milestone deliverable.
3.2 Payment Schedule: 20% advance upon signing of this Purchase Order; 30% upon approval of schematic design; 30% upon submission of complete construction drawings; 15% upon completion of construction supervision; 5% upon final handover of as-built documents and project closeout.
3.3 A retention of 5% of each milestone payment shall be held by the Purchaser for a period of twelve (12) months post-completion to address any latent defects identified during the defect liability period.
3.4 Applicable Value Added Tax (VAT) at 13% as per Nepal Inland Revenue Department regulations shall be added to the total contract value. The final payable amount including VAT is NPR 8,136,000.
4. Terms and Conditions4.1 The Architect shall hold a valid license issued by the Nepal Council for Architecture and shall maintain professional indemnity insurance of not less than NPR 50,000,000 throughout the duration of this Purchase Order.
4.2 All architectural designs and drawings produced under this Purchase Order shall become the exclusive property of the Purchaser upon full payment. The Architect retains the right to display the completed project in professional portfolios with prior written consent.
4.3 The Architect shall comply with all applicable laws of Nepal, including the Nepal Building Code 2074, the Local Government Operation Act 2074, and all Kathmandu Valley Development Authority zoning regulations.
4.4 Any variation or change order to the scope of work must be documented in writing and signed by both parties before execution. The Purchaser reserves the right to reject any variation that exceeds 10% of the original contract value without a formal re-tender process.
4.5 The Architect shall not subcontract any portion of the architectural services without prior written approval from the Purchaser. Any approved subcontractor shall be bound by the same terms and conditions as stated in this Purchase Order.
4.6 In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in Kathmandu, Nepal. If mediation fails within thirty (30) days, the matter shall be referred to the competent court of law in Kathmandu, Nepal, and governed by the laws of Nepal.
4.7 The Architect shall provide weekly progress reports to the Purchaser during active design and construction phases. Failure to submit reports for two consecutive weeks shall constitute a material breach of this Purchase Order.
4.8 This Purchase Order shall remain in full force and effect until all obligations of both parties have been fulfilled, all payments have been settled, and the defect liability period has expired.
5. Acceptance & AuthorizationBy signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms, conditions, and specifications set forth in this Purchase Order for Architect services in Nepal Kathmandu. This document is executed in two (2) original copies, one for each party.
