This Purchase Order is issued by Al-Nakheel Development Group Co., Ltd. to engage the services of a licensed Architect and the full architectural team at Riyadh Architectural Design Studio for the design, planning, and documentation of a mixed-use commercial tower located in the Al Olaya District of Riyadh, Saudi Arabia. The Architect shall deliver all services in full compliance with the Saudi Building Code, the Riyadh Municipality regulations, and the Vision 2030 urban development guidelines applicable to the Saudi Arabia Riyadh metropolitan area.

- This Purchase Order constitutes a binding agreement between Al-Nakheel Development Group Co., Ltd. and Riyadh Architectural Design Studio for the provision of Architect services in Riyadh, Saudi Arabia. All deliverables shall conform to the specifications outlined in the attached Scope of Work document (Ref: SOW-ANDG-2025-047).
- The Architect shall hold a valid professional license issued by the Saudi Commission for Health Specialties (CCHS) or the relevant Saudi architectural licensing body, and shall maintain professional indemnity insurance of no less than SAR 5,000,000 for the duration of the project in Saudi Arabia Riyadh.
- All architectural drawings, BIM models, and design documents shall be submitted in both Arabic and English to satisfy the regulatory requirements of the Riyadh Municipality and the Saudi Building Authority.
- Payment shall be made in Saudi Riyal (SAR) via bank transfer to the account designated by the Architect. Invoices shall be submitted at the completion of each project phase as defined in the line items above. Payment is due within thirty (30) calendar days of receipt of a valid invoice.
- The Architect shall comply with all applicable laws and regulations of the Kingdom of Saudi Arabia, including but not limited to the Saudi Building Code, the Environmental, Health, and Safety (EHS) regulations, and the Vision 2030 sustainability mandates applicable to new construction in Riyadh.
- Any variation or change order to the scope of Architect services must be approved in writing by both parties prior to execution. Unauthorized changes shall not be compensable under this Purchase Order.
- The Architect shall provide weekly progress reports to the Purchasing Entity and shall attend bi-weekly coordination meetings at the project site in Riyadh, Saudi Arabia, or via approved virtual means.
- Intellectual property rights for all design documents, drawings, and BIM models produced under this Purchase Order shall vest in Al-Nakheel Development Group Co., Ltd. upon full payment. The Architect retains the right to reference the project in their professional portfolio with prior written consent.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through amicable negotiation. Should negotiation fail, the dispute shall be referred to arbitration in Riyadh, Saudi Arabia, in accordance with the rules of the Saudi Center for Commercial Arbitration (SCCA).
- This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Kingdom of Saudi Arabia. The jurisdiction of the courts of Riyadh, Saudi Arabia shall apply for any legal proceedings not resolved through arbitration.
- The Architect shall ensure that all sub-consultants and support staff engaged for this project in Saudi Arabia Riyadh are properly licensed, insured, and in compliance with Saudi labor laws, including the Saudization (Nitaqat) requirements where applicable.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or pandemics affecting operations in Saudi Arabia.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for Architect services in Riyadh, Saudi Arabia. This document, once executed, shall serve as the primary contractual reference for the engagement of the Architect and the delivery of all architectural deliverables for the referenced project.
