This Purchase Order is issued by Sandton Ridge Developments (Pty) Ltd to formally engage Meridian Architectural Design Studio (Pty) Ltd, a registered Architect firm operating in Johannesburg, South Africa, to provide comprehensive architectural design and professional services for the construction of a six-storey mixed-use residential and commercial building located at 28 Oxford Road, Braamfontein, Johannesburg, 2001, South Africa. The Architect shall be responsible for all design phases from concept through to practical completion, in full compliance with the National Building Regulations (NBR), SANS 10400, the City of Johannesburg Metropolitan Municipality (COJ) by-laws, and the requirements of the National Home Builders Registration Council (NHBRC) where applicable.

Payment for the Architect's services shall be made in accordance with the following milestone schedule, aligned with the completion of each phase as defined in this Purchase Order:

All payments shall be made by electronic funds transfer (EFT) to the Architect's designated bank account within fourteen (14) calendar days of receipt of a valid tax invoice. The Architect shall issue invoices in accordance with the requirements of the South African Revenue Service (SARS) and the Value-Added Tax Act, 1991 (Act No. 89 of 1991).
6. TERMS AND CONDITIONS6.1 This Purchase Order is governed by the laws of the Republic of South Africa. Any disputes arising from this Purchase Order shall be subject to the jurisdiction of the High Court of South Africa, Gauteng Division, Johannesburg.
6.2 The Architect warrants that all services rendered shall be performed in a professional and workmanlike manner, in accordance with the South African Institute of Architects (SAIA) Code of Professional Conduct and the National Building Regulations, 2008 (Act No. 79 of 1977, as amended).
6.3 The Architect shall maintain adequate professional indemnity insurance with a minimum cover of R 5,000,000.00 for the duration of the project. A certificate of insurance shall be provided to the Buyer prior to commencement of services.
6.4 All intellectual property rights in the architectural drawings, designs, and documentation produced under this Purchase Order shall vest in the Buyer upon full payment of the fees. The Architect retains the right to use the work for portfolio and marketing purposes, subject to the Buyer's prior written consent.
6.5 The Architect shall comply with all applicable South African labour legislation, including the Basic Conditions of Employment Act, 1997 (Act No. 75 of 1997), and the Employment Equity Act, 1998 (Act No. 55 of 1998), in the employment of any staff or sub-consultants engaged in Johannesburg, South Africa.
6.6 The Architect shall not subcontract any portion of the architectural services without the prior written consent of the Buyer. Any approved sub-consultants shall be bound by the same terms and conditions as set out in this Purchase Order.
6.7 Time is of the essence. The Architect shall adhere to the project programme as agreed in writing. Delays attributable to the Architect shall entitle the Buyer to claim liquidated damages at a rate of R 15,000.00 per calendar day of delay, up to a maximum of R 300,000.00.
6.8 This Purchase Order may be terminated by either party upon thirty (30) days' written notice. In the event of termination, the Architect shall be entitled to payment for services rendered up to the date of termination, less any costs incurred by the Buyer as a result of the termination.
6.9 The Architect shall comply with all environmental and heritage regulations applicable to the site in Johannesburg, including the National Environmental Management Act, 1998 (Act No. 107 of 1998), and any applicable heritage impact assessment requirements of the City of Johannesburg.
7. ACCEPTANCE AND AUTHORITYBy signing below, both parties acknowledge and accept the terms, conditions, and scope of services set out in this Purchase Order for the engagement of the Architect for the Braamfontein development project in Johannesburg, South Africa.
