This Purchase Order is issued by Inversiones Turísticas del Turia, S.L. to Estudio Arquitectónico Levante, S.L.P. for the provision of comprehensive architectural design, planning, and consulting services for the development of a mixed-use residential and commercial complex located in the Ruzafa district of Valencia, Spain. Payment shall be made in accordance with the following schedule, invoiced by the Architect upon completion of each phase and approved by the Buyer's project manager:
- Advance Payment: 15% of the total Purchase Order value (EUR 37,352.70) within 15 business days of the signed contract, to be deposited into the Architect's designated bank account in Spain.
- Progress Payments: 70% of the total value shall be disbursed in monthly instalments corresponding to the completion of each phase as outlined in Section 4, subject to written acceptance by the Buyer.
- Retention: 10% of each phase payment shall be retained by the Buyer and released within 30 days of final project completion and handover of all as-built documentation.
- Final Payment: The remaining 5% shall be paid within 21 days of the post-occupancy evaluation being accepted in writing.
- All payments shall be made via bank transfer (SEPA) to the account details provided by Estudio Arquitectónico Levante, S.L.P. Invoices must reference this Purchase Order number (PO-VAL-2025-04872) and comply with the electronic invoicing requirements established under Spanish Royal Decree 1058/2022.
- This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of Spain, specifically the Spanish Civil Code, the Ley 38/2003 General Law on Public Contracts (where applicable), and the professional regulations of the Colegio Oficial de Arquitectos de Valencia.
- The Architect warrants that all design work shall comply with the vigente Plan General de Ordenación Urbana de Valencia, the technical building regulations (CTE), and all environmental and accessibility requirements applicable in the Comunidad Valenciana.
- The Architect shall maintain professional indemnity insurance with a minimum coverage of EUR 1,000,000 per claim, valid throughout the duration of this Purchase Order and for a further five years following project completion.
- Any changes to the scope of work must be documented in a written variation order signed by both parties. No additional work shall be performed without prior written authorisation under this Purchase Order.
- The Architect shall deliver all project files in both PDF and editable CAD/BIM formats (Revit or equivalent) to the Buyer upon completion of each phase.
- Confidentiality: Both parties agree to treat all project information, site data, and commercial terms as strictly confidential in accordance with the Spanish Data Protection Act (LOPDGDD 3/2018) and the EU General Data Protection Regulation (GDPR).
- Disputes arising from this Purchase Order shall first be subject to mediation in Valencia, Spain. Should mediation fail, the matter shall be referred to the competent courts of Valencia, Spain, as the exclusive jurisdiction.
- The Architect shall not subcontract any portion of the architectural services without the prior written consent of the Buyer, as stipulated in this Purchase Order.
- Force majeure events, including but not limited to natural disasters affecting the Valencia region, shall be addressed in accordance with Article 1105 of the Spanish Civil Code.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the architectural services to be delivered in Spain Valencia.
