1. Scope of Work: This Purchase Order constitutes a binding agreement between Colombo Urban Development Corporation (Pvt) Ltd. and the named Architect for the provision of comprehensive architectural design and consultancy services for the project located in Sri Lanka Colombo. The Architect shall perform all duties in accordance with the professional standards of the Architectural Registration Board of Sri Lanka and the Institute of Architects of Sri Lanka.
2. Payment Schedule: Payments shall be made in accordance with the following milestones: 15% upon execution of this Purchase Order, 20% upon completion of Phase I, 20% upon completion of Phase II, 25% upon completion of Phase III, 15% upon completion of Phase IV, and 5% upon final handover and acceptance. All payments shall be made via bank transfer to the Architect's designated account in Sri Lanka Colombo within 30 days of receipt of a valid invoice.
3. Intellectual Property: All drawings, designs, models, and documentation produced by the Architect under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Architect shall not reuse, reproduce, or disclose any project-specific information pertaining to the Sri Lanka Colombo site without prior written consent.
4. Compliance and Permits: The Architect shall be solely responsible for ensuring that all design submissions comply with the Town and Country Planning Act, the National Building Regulations, and all local by-laws of the Colombo Municipal Council. The Architect shall manage all interactions with Sri Lanka Colombo planning authorities and obtain necessary building permits on behalf of the Buyer.
5. Insurance and Liability: The Architect shall maintain professional indemnity insurance with a minimum cover of LKR 50,000,000 throughout the duration of this Purchase Order. The Architect shall be liable for any design errors or omissions that result in structural failure, code violations, or financial loss to the Buyer.
6. Termination: Either party may terminate this Purchase Order with 30 days written notice. In the event of termination, the Architect shall be compensated for all work completed and documented up to the date of termination, as assessed by an independent professional appointed by the Sri Lanka Colombo arbitration panel.
7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Sri Lanka Colombo in accordance with the Arbitration Act of Sri Lanka. The courts of Colombo, Sri Lanka shall have exclusive jurisdiction.
8. Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-imposed restrictions, or other events beyond reasonable control, as commonly experienced in the Sri Lanka Colombo region including monsoon-related construction delays.
