This Purchase Order is issued by Zürich Bauentwicklung AG (hereinafter referred to as the "Buyer") to Architect Studio Meridian GmbH (hereinafter referred to as the "Architect" or "Vendor") for the provision of comprehensive architectural design, planning, and consulting services in connection with the construction of a residential development project located in the municipality of Zurich, Canton of Zurich, Switzerland. This Purchase Order constitutes a binding contractual instrument under Swiss law and shall be interpreted in accordance with the Swiss Code of Obligations (Obligationenrecht, OR) and all applicable cantonal building regulations of Switzerland Zurich.

The Architect shall be responsible for the full architectural design process, including but not limited to: conceptual design development, schematic design, detailed architectural drawings, structural coordination, interior design specifications, landscape integration plans, and full compliance with the building permit requirements of the City of Zurich. The Architect shall ensure that all deliverables conform to the Swiss Building Ordinance (Bauverordnung) and the specific zoning regulations applicable to the project site in Switzerland Zurich.

Payment against this Purchase Order shall be made in Swiss Francs (CHF) via bank transfer to the Architect's designated account. The payment schedule is structured as follows: 30% upon execution of this Purchase Order, 40% upon approval of the construction documentation package, and 30% upon final handover and acceptance of all deliverables. Invoices shall be payable within thirty (30) calendar days of receipt. Late payments shall accrue interest at the statutory rate prescribed by Article 104 of the Swiss Code of Obligations. All payments are subject to the terms set forth in this Purchase Order and the general terms and conditions of Switzerland Zurich commercial practice.

4.1 This Purchase Order is governed by and shall be construed in accordance with the laws of Switzerland, with exclusive jurisdiction vested in the courts of Switzerland Zurich, Canton of Zurich.

4.2 The Architect warrants that all services rendered under this Purchase Order shall be performed with the professional skill, care, and diligence expected of a licensed Architect registered with the Swiss Association of Architects (SIA) and the professional chamber of the Canton of Zurich.

4.3 The Architect shall maintain full professional liability insurance with a minimum coverage of CHF 5,000,000 per claim, valid throughout the duration of this Purchase Order and for a period of ten (10) years following project completion, in compliance with Swiss professional liability requirements.

4.4 All intellectual property rights in the Architect's deliverables, including drawings, models, and specifications, shall transfer to the Buyer upon full payment. The Architect retains the right to display the project in professional portfolios subject to the Buyer's prior written consent.

4.5 Any disputes arising from or in connection with this Purchase Order shall first be subject to mediation in Switzerland Zurich. Should mediation fail, the matter shall be referred to the competent civil court of the Canton of Zurich.

4.6 The Architect shall comply with all applicable Swiss environmental regulations, energy efficiency standards (Minergie requirements), and accessibility mandates in force in Switzerland Zurich at the time of design and construction.

4.7 This Purchase Order may only be amended in writing, signed by both parties. No oral modification shall be binding.

By signing below, both parties acknowledge and accept the terms, conditions, and scope of work defined in this Purchase Order for the Architect's services in Switzerland Zurich. This document, once executed, constitutes a legally binding agreement under Swiss law.
