This Purchase Order is issued by Mwanza Coastal Development Ltd. (hereinafter referred to as the "Client") to Boma Architectural & Design Studio (hereinafter referred to as the "Architect") for the provision of comprehensive architectural design, planning, and consultancy services for the construction of a mixed-use commercial and residential complex located in the Mikocheni area of Dar es Salaam, Tanzania. This Purchase Order constitutes a binding agreement between the Client and the Architect for the scope of work, deliverables, timelines, and compensation as detailed herein. The Architect shall perform all professional duties in accordance with the standards set forth by the Tanzania Architects and Planners Registration Board (TAPRB) and the Building Regulations of the Dar es Salaam City Council.

The Architect engaged under this Purchase Order shall provide the following professional services in Tanzania Dar es Salaam:

Payment for the Architect services outlined in this Purchase Order shall be made in Tanzanian Shillings (TZS) via bank transfer to the account designated by Boma Architectural & Design Studio. The payment schedule is structured as follows:

(a) 25% advance payment upon execution of this Purchase Order and commencement of the preliminary design phase;
(b) 30% upon approval of detailed architectural drawings and submission to the Dar es Salaam City Council;
(c) 30% distributed monthly during the construction supervision phase, subject to satisfactory progress reports;
(d) 15% upon completion of as-built documentation and final handover certification.

All invoices issued by the Architect under this Purchase Order must be accompanied by a valid Tax Invoice as required by the Tanzania Revenue Authority (TRA). Payment shall be processed within fourteen (14) calendar days of receipt of a valid invoice. Late payments shall attract interest at the rate of 2% per month as stipulated under Tanzanian commercial law.

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Republic of Tanzania, including the Building Regulations, the Town and Country Planning Act, and the Tanzania Architects and Planners Registration Board Act. Any disputes arising from this Purchase Order shall be resolved through arbitration in Dar es Salaam, Tanzania, in accordance with the Arbitration Act, Cap. 35.
  2. Professional Standards: The Architect shall perform all services with the degree of skill, care, and diligence expected of a registered Architect in Tanzania Dar es Salaam. All deliverables must comply with the National Building Code of Tanzania and the specific zoning regulations of the Dar es Salaam City Council for the Mikocheni ward.
  3. Intellectual Property: Upon full payment, all architectural drawings, designs, and documentation produced under this Purchase Order shall become the exclusive property of the Client. The Architect retains the right to display the completed project in professional portfolios, subject to the Client's written consent.
  4. Insurance and Indemnity: The Architect shall maintain professional indemnity insurance with a minimum coverage of TZS 200,000,000 throughout the duration of this Purchase Order. The Architect shall indemnify the Client against any claims arising from professional negligence or non-compliance with Tanzanian building standards.
  5. Confidentiality: Both parties agree to maintain strict confidentiality regarding all project details, financial information, and proprietary data exchanged under this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
  6. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Client shall pay the Architect for all services rendered up to the date of termination, less any damages caused by the terminating party's breach.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Tanzania, or civil unrest in Dar es Salaam.
  8. Amendments: Any amendments or modifications to this Purchase Order must be made in writing and signed by both the Client and the Architect. Verbal agreements or informal communications shall not constitute a valid amendment to this Purchase Order.

The Architect shall commence work within seven (7) calendar days of the execution of this Purchase Order. The total project duration, including all phases from preliminary design through to final handover, is estimated at eighteen (18) months from the commencement date. The Architect shall submit a detailed project schedule within the first two weeks, which shall be reviewed and approved by the Client. All milestones and deliverables are subject to the approval of the Dar es Salaam City Council where statutory permits are required.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This Purchase Order represents the entire agreement between the parties regarding the Architect services described herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.
