This Purchase Order is issued by Meridian Development Group, LLC (hereinafter referred to as the "Buyer") to Harlan & Voss Architectural Studio, P.C. (hereinafter referred to as the "Architect") for the provision of comprehensive architectural design, planning, and consulting services for the construction of a mixed-use commercial and residential development located at 847 West Fulton Market, Chicago, Illinois 60607, United States. The Architect shall deliver all design documents, construction drawings, specifications, and related professional services in full compliance with the Chicago Building Code, the International Building Code as adopted by the City of Chicago, and all applicable federal, state, and municipal regulations governing architectural practice in the State of Illinois and the United States.

- Governing Law: This Purchase Order and all services rendered under it shall be governed by and construed in accordance with the laws of the State of Illinois, United States, and the municipal ordinances of the City of Chicago. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts located in Cook County, Illinois.
- Licensing and Compliance: The Architect represents and warrants that it holds a valid Illinois Professional Land Surveyor and Architect license (ILL-ARC-2019-4482) issued by the Illinois Department of Financial and Professional Regulation, and that all architectural services shall be performed in accordance with the Illinois Practice of Architecture Act (225 ILCS 450) and the Chicago Building Code.
- Payment Schedule: Invoices shall be submitted by the Architect at the completion of each phase as outlined in the Scope of Work. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month or the maximum rate permitted by Illinois law, whichever is lower.
- Intellectual Property: Upon full payment, all architectural drawings, plans, specifications, and design documents created by the Architect specifically for this project shall become the property of the Buyer. The Architect retains the right to use general design concepts and methodologies in future projects, provided that no proprietary information of the Buyer is disclosed.
- Insurance: The Architect shall maintain, at its own expense, professional liability (errors and omissions) insurance with a minimum coverage of $2,000,000 per occurrence and $4,000,000 aggregate, as well as general liability insurance of $1,000,000 per occurrence. Certificates of insurance naming the Buyer as an additional insured shall be provided prior to commencement of work.
- Change Orders: Any modification to the scope of architectural services beyond what is described in this Purchase Order shall require a written Change Order signed by both parties. No additional compensation shall be owed for work performed without prior written authorization.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay the Architect for all services satisfactorily rendered up to the date of termination, less any amounts already paid.
- Confidentiality: The Architect agrees to treat all project information, site data, and business information of the Buyer as strictly confidential and shall not disclose such information to any third party without prior written consent, except as required by law or by the City of Chicago permitting authorities.
- Permitting and Approvals: The Architect shall be responsible for preparing and submitting all documents required for building permit approval by the City of Chicago Department of Buildings and shall attend all required plan review meetings at no additional cost to the Buyer.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, or pandemics, provided that the affected party gives prompt written notice to the other party.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the architectural services described herein. The Architect confirms acceptance of all terms, conditions, and the scope of work as outlined in this document. This Purchase Order is valid for the project located in Chicago, Illinois, United States, and all services shall be performed within the jurisdiction of the City of Chicago unless otherwise specified in writing.
