Description of Services

This Purchase Order is issued by Gulf Coast Development Partners, LLC (hereinafter referred to as the "Buyer") to engage the services of Bayou City Architectural Studio, PLLC (hereinafter referred to as the "Architect") for the provision of comprehensive architectural design, planning, and documentation services for the construction of a mixed-use commercial and residential development located in the Montrose neighborhood of Houston, Texas, United States. The Architect shall be responsible for all phases of architectural design, including but not limited to schematic design, design development, construction documentation, bidding and negotiation support, and construction administration, in full compliance with the Houston Municipal Code, the International Building Code as adopted by the City of Houston, and all applicable federal, state, and local regulations of the United States.

Terms and Conditions
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States, and the federal laws of the United States applicable to professional services contracts. Any disputes arising from this Purchase Order shall be resolved in the courts of Harris County, Houston, Texas, United States.
  2. Payment Schedule: The Buyer shall remit payment to the Architect in accordance with the following milestone schedule: 15% upon execution of this Purchase Order, 20% upon approval of Schematic Design, 25% upon approval of Design Development, 20% upon issuance of Construction Documents, 10% upon completion of Bidding Support, and 10% upon Substantial Completion. All payments shall be made via wire transfer to the Architect's designated account within thirty (30) days of invoice receipt.
  3. Architect's Obligations: The Architect warrants that all services rendered under this Purchase Order shall be performed in a professional and workmanlike manner consistent with the standards of practice prevailing in Houston, Texas, and throughout the United States. The Architect shall maintain all necessary professional liability insurance with a minimum coverage of $5,000,000 per occurrence.
  4. Intellectual Property: All drawings, plans, specifications, and design documents produced by the Architect under this Purchase Order shall become the property of the Buyer upon full payment. The Architect retains the right to use the project for portfolio and marketing purposes, subject to the Buyer's written approval.
  5. Compliance: The Architect shall ensure full compliance with the Houston Building Code, the Texas Occupations Code Chapter 505, the Americans with Disabilities Act (ADA), the International Energy Conservation Code, and all environmental regulations applicable in Houston, United States.
  6. Change Orders: Any modifications to the scope of architectural services described in this Purchase Order must be documented in a written Change Order signed by both the Buyer and the Architect prior to commencement of the additional work.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Architect shall be compensated for all services rendered and expenses incurred up to the date of termination.
  8. Insurance and Indemnification: The Architect shall indemnify and hold harmless the Buyer from any claims, damages, or liabilities arising from the Architect's negligence, errors, or omissions in the performance of services under this Purchase Order in Houston, United States.
  9. Confidentiality: Both parties agree to maintain strict confidentiality regarding all project information, financial data, and proprietary details exchanged in connection with this Purchase Order.
  10. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters common to the Houston, Texas region such as hurricanes, flooding, or severe weather events.
Approval & Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for Architect services in Houston, United States. This document constitutes a binding agreement between the Buyer and the Architect effective as of the date of the last signature.
