This Purchase Order is issued by Saigon Urban Development Joint Stock Company (hereinafter referred to as the "Buyer") to formally engage the services of Architect Nguyen Van Minh Design Studio Co., Ltd. (hereinafter referred to as the "Architect") for the provision of comprehensive architectural design, planning, and consulting services for a mixed-use residential and commercial development project located in District 2, Vietnam Ho Chi Minh City. This Purchase Order constitutes a binding agreement between the Buyer and the Architect for the scope of work, deliverables, payment schedule, and professional obligations outlined herein. All services shall be performed in full compliance with the Vietnamese Construction Law, the QCVN building codes, and all applicable regulations enforced by the Vietnam Ho Chi Minh City People's Committee and the Vietnam Ho Chi Minh City Department of Construction.

The Architect shall provide the following professional services as part of this Purchase Order:

• Pre-Design Feasibility Study: Site analysis, zoning verification, and preliminary massing studies for the 12,500 m² parcel in District 2, Vietnam Ho Chi Minh City, including environmental impact assessment in accordance with local regulations.
• Schematic Design Phase: Development of conceptual architectural drawings, 3D massing models, and preliminary structural coordination for a 28-storey mixed-use tower with podium retail spaces.
• Design Development Phase: Detailed architectural drawings, material specifications, façade engineering coordination, and interior layout plans for all residential units and commercial podium levels.
• Construction Documentation: Full set of construction-ready architectural drawings, specifications, and technical schedules suitable for submission to the Vietnam Ho Chi Minh City Department of Construction for building permit approval.
• Permitting and Regulatory Support: The Architect shall prepare and submit all necessary documentation to obtain the Construction Permit (Giấy phép xây dựng) from the Vietnam Ho Chi Minh City authorities and shall attend all review meetings with local planning and construction officials.
• Construction Phase Services: Site supervision, design queries resolution, value engineering, and as-built documentation throughout the construction period.

Payment shall be made in accordance with the following milestone schedule tied to the Architect's deliverables under this Purchase Order:

• 20% (VND 928,400,000): Due upon signing of this Purchase Order and commencement of the Pre-Design Feasibility Study.
• 25% (VND 1,160,500,000): Due upon Buyer's written approval of the Schematic Design package.
• 25% (VND 1,160,500,000): Due upon submission of the complete Construction Documentation set to the Vietnam Ho Chi Minh City Department of Construction.
• 15% (VND 696,300,000): Due upon issuance of the Construction Permit by Vietnam Ho Chi Minh City authorities.
• 15% (VND 696,300,000): Due upon completion of all Construction Phase Services and delivery of final as-built drawings.

All payments shall be made via bank transfer to the Architect's designated account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 0.05% per day as stipulated under Vietnamese commercial law.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Architect for the specified project in Vietnam Ho Chi Minh City.

This Purchase Order (PO-2025-HCM-00847) is issued in two (2) original copies, one for each party. This document is valid only for the project located in Vietnam Ho Chi Minh City and the Architect services described herein. © 2025 Saigon Urban Development Joint Stock Company.
