This Purchase Order is issued by the Kabul Astronomical Research Institute (hereinafter referred to as the "Buyer") to Celestial Instruments International Ltd. (hereinafter referred to as the "Supplier") for the procurement of specialized astronomical instruments, observational equipment, and professional support services required by the lead Astronomer assigned to the research program in Afghanistan Kabul. The scope of this Purchase Order encompasses the full delivery, installation, calibration, and one-year maintenance of all listed items at the designated observatory site located in the Darulaman District of Kabul, Afghanistan. All goods and services described herein are intended to support the Astronomer's ongoing research into stellar cartography, atmospheric optical studies, and deep-sky object cataloguing specific to the high-altitude conditions of the Kabul region (elevation approximately 1,799 meters above sea level).

All items listed in this Purchase Order shall be delivered to the Kabul Astronomical Research Institute facility at Darulaman District, Afghanistan Kabul, no later than 30 August 2025. The Supplier is responsible for all packaging, crating, and secure transport to the Afghanistan Kabul destination. Installation and initial calibration of the telescope system and observatory dome shall be completed within fourteen (14) calendar days of delivery. The assigned Astronomer shall be present during all installation and calibration phases to verify operational readiness. The Supplier shall provide a comprehensive training session for the Astronomer and two (2) assistant researchers on the operation, maintenance, and troubleshooting of all delivered equipment.

Note: Due to the logistical complexities of shipping specialized scientific equipment to Afghanistan Kabul, the Supplier must coordinate with the Afghan Ministry of Commerce and Industry for import permits and with the Kabul Customs Authority for clearance. All documentation must be prepared in both English and Dari. The Astronomer's office will provide a local liaison to assist with regulatory compliance in Afghanistan Kabul.

Payment for this Purchase Order shall be made in three installments via international wire transfer to the Supplier's designated bank account in Geneva, Switzerland:

  1. 30% advance payment (USD 83,550.00) due within ten (10) business days of the Buyer's written acceptance of this Purchase Order.
  2. 50% upon delivery (USD 139,250.00) due within fifteen (15) business days of confirmed delivery and acceptance of all goods at the Afghanistan Kabul site.
  3. 20% upon completion (USD 55,700.00) due within thirty (30) days after successful installation, calibration, and completion of the Astronomer's sign-off on operational readiness.

All payments are subject to the terms of the Afghanistan Kabul commercial regulations and applicable international trade agreements. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.

The Supplier warrants that all equipment delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of installation in Afghanistan Kabul. The Astronomer shall report any defects or malfunctions in writing within thirty (30) days of discovery. The Supplier shall repair or replace defective components at no additional cost, including all shipping costs to and from Afghanistan Kabul. The one-year professional support contract (Item 05) includes four (4) on-site visits by a qualified technician to the Kabul location, remote diagnostic support available 24/7, and priority replacement of critical components within seventy-two (72) hours.

  1. This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG) and the commercial laws of the Islamic Emirate of Afghanistan as applicable to Kabul.
  2. Any disputes arising from this Purchase Order shall be resolved through arbitration in Geneva, Switzerland, under the rules of the ICC.
  3. The Supplier shall maintain full cargo insurance for the duration of transit to Afghanistan Kabul.
  4. Neither party may assign its obligations under this Purchase Order without prior written consent of the other party.
  5. All intellectual property related to the Astronomer's research data collected using the equipment procured under this Purchase Order shall remain the sole property of the Kabul Astronomical Research Institute.
  6. This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.

This Purchase Order is hereby authorized and executed by the undersigned representatives of both parties. By signing below, each party acknowledges and agrees to all terms, conditions, and obligations set forth in this document for the procurement of Astronomer equipment and services for use in Afghanistan Kabul.
