This Purchase Order is issued by the Sydney Institute for Advanced Astrophysical Research to formally engage the services of a qualified Astronomer to deliver a comprehensive suite of professional astronomical consulting, research, and public outreach services within the metropolitan region of Australia Sydney. The Astronomer shall provide the following deliverables in accordance with the specifications outlined below:

- Scope of Work: The Astronomer shall perform all duties and deliverables strictly within the scope defined in Section 2 of this Purchase Order. Any additional services requested by the Buyer beyond the original scope shall require a written amendment to this Purchase Order, signed by both parties, prior to commencement of the additional work.
- Place of Performance: All services under this Purchase Order shall be performed primarily at the Buyer's facilities located in Australia Sydney, New South Wales. The Astronomer acknowledges that all work is subject to the laws of the State of New South Wales and the Commonwealth of Australia, including but not limited to the Competition and Consumer Act 2010 (Cth) and the Work Health and Safety Act 2011 (NSW).
- Commencement and Completion: The Astronomer shall commence services no later than 1 July 2025. The full term of this engagement shall conclude on 30 November 2025, unless extended by mutual written agreement. All deliverables must be submitted no later than the completion date specified in the project schedule attached as Schedule A to this Purchase Order.
- Payment Terms: Payment shall be made in monthly instalments of 10% of the total contract value, payable within thirty (30) days of receipt of a valid tax invoice from the Astronomer. A final payment of 10% shall be due upon satisfactory completion and acceptance of all deliverables. All payments shall be made via electronic funds transfer (EFT) to the bank account nominated by the Astronomer in writing.
- Intellectual Property: All research data, publications, software, and creative works produced by the Astronomer in the course of performing services under this Purchase Order shall be the sole intellectual property of the Buyer, unless otherwise agreed in writing. The Astronomer retains the right to reference the engagement in professional portfolios and academic CVs, subject to the Buyer's prior written approval for any public disclosure of unpublished data.
- Insurance and Liability: The Astronomer shall maintain, at their own cost, a professional indemnity insurance policy with a minimum cover of AUD $5,000,000 and a public liability insurance policy with a minimum cover of AUD $10,000,000 for the duration of this Purchase Order. Certificates of insurance shall be provided to the Buyer prior to the commencement of services.
- Confidentiality: The Astronomer agrees to treat all proprietary information, unpublished research data, and internal communications of the Buyer as strictly confidential. This obligation shall survive the termination or expiry of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice to the other party. In the event of termination, the Astronomer shall be compensated for all services rendered and expenses incurred up to the date of termination, as documented in a final invoice.
- Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be referred to mediation under the rules of the Australian Dispute Resolution Centre in Australia Sydney. If mediation fails, the dispute shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New South Wales and the Commonwealth of Australia.
By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth in this Purchase Order. The Buyer authorises the engagement of the Astronomer for the services described herein, and the Astronomer accepts the terms of this Purchase Order and commits to delivering the specified services in a professional and timely manner within Australia Sydney.
