- Payment Terms: Payment shall be made in three (3) equal installments via international wire transfer to Astronomer, Inc.'s designated bank account. The first installment (33.33%) is due upon execution of this Purchase Order. The second installment (33.33%) is due upon completion of the Astronomer platform deployment in the AWS São Paulo region. The final installment (33.34%) is due upon successful completion of the on-site training program in Rio de Janeiro, Brazil.
- Currency and Exchange: All amounts are quoted in United States Dollars (USD). The purchaser, Rio Data Solutions Ltda., assumes all foreign exchange risk associated with converting BRL to USD at the time of each payment. The applicable exchange rate shall be the Central Bank of Brazil (Banco Central do Brasil) commercial rate on the payment date.
- Delivery and Deployment: Astronomer, Inc. shall ensure that all digital licenses, access credentials, and platform components are delivered and fully operational within the AWS sa-east-1 (São Paulo, Brazil) region no later than 01 August 2025. The on-site training in Rio de Janeiro shall be scheduled between 10 August 2025 and 22 August 2025, at the purchaser's headquarters located at Av. Rio Branco, 1200, Centro, Rio de Janeiro, RJ.
- Warranty and Service Level: Astronomer, Inc. warrants that the Astronomer Enterprise Platform shall maintain a minimum uptime of 99.9% during the subscription period. In the event of a service interruption exceeding 4 hours, the purchaser shall be entitled to a proportional credit on the next invoice.
- Intellectual Property: All intellectual property rights associated with the Astronomer platform, including source code, documentation, and proprietary algorithms, remain the exclusive property of Astronomer, Inc. The purchaser is granted a non-transferable, non-exclusive license to use the Astronomer platform solely for internal business operations within Brazil.
- Compliance with Brazilian Law: This Purchase Order and the services rendered under it shall comply with all applicable Brazilian federal and state regulations, including but not limited to the General Data Protection Law (LGPD — Lei Geral de Proteção de Dados, Law No. 13,709/2018) and the tax obligations of the State of Rio de Janeiro. Astronomer, Inc. shall provide all necessary documentation for the purchaser's customs and tax filing in Brazil.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination by the purchaser for Astronomer's material breach, a full refund of prepaid but unused amounts shall be issued within thirty (30) days.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by the laws of the State of California, United States, with respect to the Astronomer platform licensing. Disputes arising from the delivery of services in Rio de Janeiro, Brazil, shall be subject to the jurisdiction of the courts of the State of Rio de Janeiro, Brazil. Both parties agree to attempt good-faith mediation before initiating any legal proceedings.
- Confidentiality: Both Astronomer, Inc. and Rio Data Solutions Ltda. agree to maintain strict confidentiality regarding all proprietary information, data pipelines, and business strategies exchanged during the course of this Purchase Order. This obligation shall survive termination for a period of five (5) years.
