All Astronomer equipment listed in this Purchase Order shall be shipped from the supplier's facility in Cambridge, Massachusetts, and delivered directly to the Guangzhou International Observatory Campus located in Baiyun District, China Guangzhou. The supplier is responsible for all international freight, customs clearance, import duties, and last-mile delivery within the Guangzhou metropolitan area. Packaging must comply with IATA and ICAO regulations for sensitive optical and electronic instruments. Each Astronomer unit must be individually crated with vibration-dampening foam, climate-controlled during transit, and accompanied by a detailed packing list and certificate of origin.
The delivery window for this Purchase Order is no later than August 28, 2025. The buyer in China Guangzhou will assign a dedicated receiving team to inspect all Astronomer items upon arrival. Any visible damage, missing components, or calibration discrepancies must be reported within 72 hours of delivery. The supplier shall provide on-site installation support in Guangzhou for a minimum of five (5) business days following delivery, at no additional cost to the buyer.
- This Purchase Order constitutes a binding agreement between the Buyer (Guangzhou Institute of Astronomical Sciences) and the Supplier (Astronomer Global Instruments Ltd.) upon written acceptance by both parties.
- All Astronomer products must conform to the specifications outlined in the supplier's current technical datasheets as of the Purchase Order date. Any deviation requires prior written approval from the Buyer.
- The Supplier warrants that all Astronomer equipment is new, unused, and free from defects in materials and workmanship for a period of twenty-four (24) months from the date of delivery in China Guangzhou.
- Payment shall be made via irrevocable Letter of Credit issued by Bank of China, Guangzhou Branch, in favor of Astronomer Global Instruments Ltd.
- Intellectual property rights associated with the Astronomer Data Acquisition & Control Software Suite remain with the Supplier. The Buyer receives a perpetual, non-transferable license for use exclusively at the China Guangzhou facility.
- In the event of a delay in delivery exceeding fifteen (15) calendar days beyond the required delivery date, the Buyer reserves the right to cancel this Purchase Order and receive a full refund of any advance payment made.
- All disputes arising from this Purchase Order shall be resolved through arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC), with the seat of arbitration in Guangzhou, China.
- This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG).
- The Supplier shall provide comprehensive training for up to twelve (12) personnel from the Guangzhou facility on the operation, maintenance, and calibration of all Astronomer instruments delivered under this Purchase Order.
- Spare parts and consumables for the Astronomer equipment shall be available for a minimum of ten (10) years from the date of delivery, with a guaranteed response time of no more than fourteen (14) business days for parts shipped to China Guangzhou.
