All payments under this Purchase Order shall be made in Ethiopian Birr (ETB) via bank transfer to the Astronomer's designated account at Commercial Bank of Ethiopia, Addis Ababa branch. Payment shall be structured as follows: (a) a 30% advance payment upon execution of this Purchase Order; (b) 40% upon delivery and installation of all astronomical equipment at the Addis Ababa facility; and (c) the remaining 30% upon satisfactory completion of the Astronomer's six-month consultancy period and submission of the final research report. Invoices must be submitted to the Procurement Office of Addis Ababa University no later than the 25th of each month for processing within 30 calendar days.
- Compliance with Ethiopian Law: All services rendered by the Astronomer and all equipment procured under this Purchase Order shall comply with the laws of the Federal Democratic Republic of Ethiopia, including the Ethiopian Customs Proclamation, the Ethiopian Tax Administration Proclamation, and the Science and Technology Commission regulations applicable in Addis Ababa.
- Professional Standards: The Astronomer shall maintain valid professional licensure issued by the Ethiopian Ministry of Science and Higher Education throughout the duration of this Purchase Order. Any lapse in licensure shall constitute grounds for immediate termination.
- Delivery and Installation: All astronomical equipment listed in Section 2 shall be delivered to the Addis Ababa University observatory campus within 45 calendar days of the Purchase Order issue date. Installation, calibration, and a 30-day warranty period shall be provided by the Astronomer or the designated equipment supplier.
- Intellectual Property: All research data, publications, and observational records generated by the Astronomer during the term of this Purchase Order shall be jointly owned by the Astronomer and Addis Ababa University. The Astronomer retains the right to publish findings with proper attribution to the institution and the location of Addis Ababa, Ethiopia.
- Force Majeure: Neither party shall be liable for delays or non-performance resulting from natural disasters, government-imposed restrictions, or other events beyond reasonable control, as defined under Ethiopian commercial law.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be addressed through good-faith negotiation. If unresolved within 30 days, the matter shall be submitted to the Addis Ababa City Court, Ethiopia, for adjudication.
- Confidentiality: The Astronomer agrees to maintain confidentiality regarding proprietary research data, institutional strategies, and unpublished findings of Addis Ababa University for a period of five years following the conclusion of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Astronomer shall be compensated for all services rendered and equipment delivered up to the termination date.
This Purchase Order is effective upon signature by both parties. By signing below, the Buyer acknowledges the terms of this Purchase Order for the engagement of the Astronomer and the procurement of astronomical services and equipment in Addis Ababa, Ethiopia. The Seller (Astronomer) acknowledges receipt of this Purchase Order and agrees to fulfill all obligations herein.
