- This Purchase Order is issued by the Observatoire de France Paris and governs the procurement of astronomical instruments and professional Astronomer consulting services. All goods and services described herein shall be delivered and performed within the administrative boundaries of France Paris unless otherwise specified in writing.
- The Supplier warrants that all equipment listed in this Purchase Order shall conform to the specifications agreed upon with the Astronomer's research group and shall be free from manufacturing defects for a period of twenty-four (24) months from the date of delivery in France Paris.
- Delivery of all physical items shall be made to the Observatoire de France Paris facility at 5 Place Jules Janssen, 75014 France Paris, no later than 30 August 2025. The Astronomer's team shall be present to oversee unloading, initial calibration, and acceptance testing on-site in France Paris.
- Payment terms: Net 45 days from the date of invoice, payable by bank transfer to the account designated by the Supplier. Invoices must reference this Purchase Order number (PO-FR-2025-0847) and shall be submitted to the Procurement Office in France Paris.
- The Astronomer consulting services (Item 05) shall be scheduled in coordination with the Astronomer's existing observation calendar. Any rescheduling must be communicated to the France Paris procurement office at least ten (10) business days in advance.
- All work performed under this Purchase Order shall comply with applicable French national regulations, European Union directives on scientific equipment, and the specific operational protocols of the France Paris observatory network.
- In the event of a dispute arising from this Purchase Order, the parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the matter shall be submitted to the competent commercial court of France Paris for adjudication.
- This Purchase Order constitutes the entire agreement between the Buyer and the Supplier regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral, relating to the Astronomer's equipment and service requirements in France Paris.
- The Supplier shall maintain full professional liability insurance covering all activities performed in France Paris under this Purchase Order, with a minimum coverage of €2,000,000 per occurrence.
- Confidentiality: All data, observations, and proprietary methods shared by the Astronomer during the course of this engagement shall remain the exclusive intellectual property of the Observatoire de France Paris. The Supplier shall not disclose, publish, or disseminate any such information without prior written consent.
By signing below, the authorized representatives confirm that this Purchase Order has been reviewed, approved, and is binding upon both parties. The Astronomer's department head has verified that the items and services listed are consistent with the research programme currently active in France Paris.
