This Purchase Order is issued by Stellar Data Solutions Pvt. Ltd., headquartered in India Bangalore, for the procurement of the Astronomer data engineering platform and associated services. The Astronomer platform shall be deployed and made fully operational within the India Bangalore data center environment within thirty (30) calendar days from the date of this Purchase Order. All Astronomer services, including the dedicated cloud instance, user licensing, API integrations, and premium support, shall be configured to meet the data residency and compliance requirements applicable to operations in India Bangalore under the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023.
The Astronomer platform deployment in India Bangalore shall include full integration with the buyer's existing data warehouse infrastructure, CI/CD pipelines, and monitoring systems. The seller, Astronomer, Inc., shall assign a dedicated technical account manager familiar with the India Bangalore market to oversee the implementation and ongoing support lifecycle.
- Acceptance: This Purchase Order becomes binding upon written acceptance by Astronomer, Inc. within ten (10) business days of issuance. Failure to respond within this period shall constitute automatic acceptance.
- Payment: Payment shall be made in US Dollars via wire transfer to the account designated by Astronomer, Inc. The first invoice shall be due within 45 days of the date of this Purchase Order. Subsequent annual invoices shall be due within 45 days of each renewal date. All payments are subject to the applicable tax regulations in India Bangalore.
- Delivery and Deployment: Astronomer shall complete the full deployment of the platform in the India Bangalore region within 30 days. Any delay beyond this period shall entitle the buyer to a credit of 2% of the total contract value per week of delay, up to a maximum of 10%.
- Warranty and SLA: Astronomer guarantees 99.9% uptime for the dedicated cloud instance serving the India Bangalore operations. Service credits shall apply per the Enterprise SLA agreement attached as Annexure A.
- Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary data, trade secrets, and business information exchanged in connection with this Purchase Order. Data processed through the Astronomer platform in India Bangalore shall not be transferred outside the designated region without explicit written consent.
- Termination: Either party may terminate this Purchase Order with 90 days written notice. In the event of termination, Astronomer shall provide a 60-day data migration and export window for all data stored in the India Bangalore instance.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, USA, with the understanding that all operational and data compliance obligations in India Bangalore shall be governed by applicable Indian law.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC).
