LINE ITEMS AND PRICING

PAYMENT TERMS

• Payment Schedule: 40% advance payment upon execution of this Purchase Order; 40% upon successful deployment and acceptance of the Astronomer platform in New Delhi; 20% upon completion of all professional services and final sign-off.
• Payment Method: Wire transfer (SWIFT) to Astronomer, Inc.'s designated bank account. All payments shall be made in US Dollars (USD) from Meridian Data Solutions' corporate account held with HDFC Bank, New Delhi, India.
• Due Date: Net 30 days from the date of invoice issuance by Astronomer.
• Late Payment: A penalty of 1.5% per month shall be applied on overdue amounts as per the terms agreed upon in the master service agreement between the parties.
• Tax Compliance: All applicable Indian GST, customs duties, and service taxes shall be borne by the Buyer. Astronomer shall provide all necessary documentation for Indian tax filing and import compliance.

DELIVERY AND IMPLEMENTATION SCHEDULE

• Platform Access: Astronomer shall provision the Enterprise Platform License within 5 business days of receipt of the advance payment.
• On-Site Deployment: Astronomer's certified implementation team shall arrive at the Meridian Data Solutions facility in New Delhi, India, no later than 20 July 2025, for a 10-business-day on-site engagement.
• Training: Comprehensive training sessions for up to 25 Meridian Data Solutions personnel shall be conducted in New Delhi during the on-site deployment window.
• Go-Live Target: Full operational readiness of the Astronomer platform is expected by 15 August 2025.

TERMS AND CONDITIONS

• This Purchase Order is subject to the Master Service Agreement (MSA) dated 01 March 2025 between Meridian Data Solutions Pvt. Ltd. and Astronomer, Inc.
• Astronomer warrants that all software, services, and deliverables provided under this Purchase Order shall be free from material defects and shall perform in accordance with the documented specifications.
• Intellectual property rights in the Astronomer platform, its source code, and associated documentation shall remain the exclusive property of Astronomer, Inc. The Buyer is granted a non-exclusive, non-transferable license for internal use within the New Delhi, India office premises.
• Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Buyer shall be entitled to a pro-rata refund for unused subscription periods.
• All disputes arising from this Purchase Order shall be resolved through arbitration in New Delhi, India, in accordance with the Arbitration and Conciliation Act, 1996. The governing law shall be the laws of India.
• Astronomer shall comply with all data protection and privacy regulations applicable in India, including the Digital Personal Data Protection Act, 2023, for any data processed through the Astronomer platform on behalf of the Buyer.
• This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements.
