This Purchase Order is issued by PT Nusantara Astronomi Research Institute (hereinafter referred to as the "Buyer") to Astronomer Scientific Instruments & Technologies Ltd. - All goods under this Purchase Order shall be delivered to the Buyer's premises in Indonesia Jakarta no later than 120 calendar days from the date of this Purchase Order. The Seller shall bear all shipping, insurance, and customs clearance costs in accordance with the DDP (Delivered Duty Paid) Incoterm 2020, with the named place of delivery being the Buyer's address in Indonesia Jakarta.
- The Seller shall coordinate with the Buyer's logistics team in Indonesia Jakarta to schedule the arrival of each shipment. A minimum of 14 days' written notice shall be provided prior to the arrival of any equipment at the Indonesia Jakarta port of entry (Tanjung Priok Port, Jakarta).
- Installation and commissioning of all hardware components shall be completed within 30 days of the final delivery date at the Indonesia Jakarta site. The Seller shall assign a dedicated project engineer to reside in Indonesia Jakarta during the installation period.
- All equipment must be packaged and crated in accordance with IATA and Indonesian Directorate General of Customs regulations for the transport of sensitive optical and electronic instruments into Indonesia Jakarta.
- 30% advance payment ($301,464.90) due within 10 business days of the Buyer's written acceptance of this Purchase Order, payable via wire transfer to the Seller's designated bank account.
- 50% progress payment ($502,441.50) due upon the Seller's submission of a Bill of Lading confirming shipment of all goods toward Indonesia Jakarta.
- 20% final payment ($200,976.60) due within 45 days of successful commissioning, final acceptance testing, and issuance of a Certificate of Completion by the Buyer's technical team in Indonesia Jakarta.
- All payments shall be made in US Dollars (USD) via international wire transfer. The Buyer's bank is Bank Mandiri, Tbk., Jakarta Branch, Indonesia Jakarta. SWIFT Code: BMRIIDJA.
- The Seller warrants that all goods supplied under this Purchase Order are new, unused, and free from defects in materials and workmanship for a period of 36 months from the date of final acceptance in Indonesia Jakarta.
- All Astronomer-branded equipment shall comply with Indonesian electrical safety standards (SNI 0827) and electromagnetic compatibility requirements applicable in Indonesia Jakarta.
- The Seller shall provide all necessary documentation, including certificates of origin, conformity certificates, and technical manuals in both English and Bahasa Indonesia, to facilitate customs clearance and regulatory compliance in Indonesia Jakarta.
- Any warranty claims shall be addressed by the Seller within 14 business days. For critical equipment failures, the Seller shall dispatch a replacement unit or repair technician to Indonesia Jakarta within 72 hours.
- This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG), with supplementary application of the laws of the Republic of Indonesia for matters pertaining to delivery and installation within Indonesia Jakarta.
- Any disputes arising from this Purchase Order shall be resolved through arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC).
- The Seller shall maintain comprehensive marine and inland cargo insurance covering all goods from the point of origin until final delivery and acceptance at the Indonesia Jakarta site.
- Neither party shall be liable for delays caused by force majeure events, including but not limited to natural disasters, government sanctions, or port closures affecting Indonesia Jakarta.
- This Purchase Order constitutes the entire agreement between the Buyer and the Seller regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements.
