All goods covered by this Purchase Order shall be delivered to the Baghdad Astronomical Observation Station, Al-Mansour District, Baghdad, Iraq. The shipping terms are DDP (Delivered Duty Paid) as per Incoterms 2020. Astronomer Systems International Ltd. shall be responsible for all transportation, export clearance from the United Kingdom, import clearance through the port of Umm Qasr or Baghdad International Airport, customs duties, and final delivery to the designated site in Baghdad. The estimated delivery window is within 90 calendar days from the date of this Purchase Order, no later than 12 September 2025. Fragile optical instruments must be crated in climate-controlled packaging rated for the temperature extremes encountered during transit to Iraq.
Payment for this Purchase Order shall be made in United States Dollars (USD) via irrevocable Letter of Credit issued by the Central Bank of Iraq, Baghdad, in favor of Astronomer Systems International Ltd. The payment schedule is as follows:
- 30% advance payment (USD 249,600.00) upon signing and confirmation of this Purchase Order.
- 50% progress payment (USD 416,000.00) upon verified shipment and presentation of Bill of Lading and Certificate of Origin.
- 20% final payment (USD 166,400.00) upon successful installation, calibration, and acceptance at the Baghdad site, confirmed by a joint inspection report signed by both parties.
- This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives. Any amendments must be made in writing and signed by both parties.
- Astronomer Systems International Ltd. warrants that all equipment supplied under this Purchase Order shall be new, unused, and free from defects in materials and workmanship for a period of 24 months from the date of acceptance in Baghdad.
- The Seller shall comply with all applicable Iraqi import regulations, customs procedures, and the sanctions and trade compliance frameworks of the Republic of Iraq. All necessary export licenses from the United Kingdom shall be obtained at the Seller's expense.
- In the event of delayed delivery beyond the 90-day window, the Seller shall pay a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10% of the total value.
- All intellectual property rights associated with the Astronomer DataCore Software Suite remain with Astronomer Systems International Ltd. The Buyer is granted a non-transferable, perpetual license for use within the Baghdad Astronomical Observation Station and affiliated Iraqi academic institutions.
- Disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Geneva, Switzerland. The governing law shall be the United Nations Convention on Contracts for the International Sale of Goods (CISG).
- The Seller shall provide a comprehensive technical manual, spare-parts catalog, and software documentation in both English and Arabic to ensure full operational capability for the Iraqi technical staff in Baghdad.
- Force majeure events, including but not limited to natural disasters, war, or government-imposed trade restrictions affecting Iraq, shall relieve the affected party from performance obligations for the duration of the event, provided written notice is given within 7 days.
This Purchase Order is issued under the authority of the Ministry of Science and Technology of Iraq and has been reviewed and approved by the Directorate of Procurement and Financial Affairs, Baghdad. The Seller, Astronomer Systems International Ltd., acknowledges receipt of this Purchase Order and confirms acceptance of all terms, conditions, and specifications herein.
