This Purchase Order is issued by the Negev Astrophysics Research Consortium (hereinafter referred to as the Buyer) to engage the professional services of Prof. Daniel Arad, Astronomer (hereinafter referred to as the Astronomer or Seller) for the purpose of conducting advanced astronomical observations, data analysis, and scientific consulting. All services under this Purchase Order shall be performed within the city of Tel Aviv, Israel, and in full compliance with the regulations of the Israel Space Authority and the Israel Standards Organization (SII). The Astronomer shall deliver all findings, reports, and observational data to the Buyer's designated facilities in Tel Aviv, Israel, in accordance with the timelines specified herein.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order relating to the Astronomer's services in Tel Aviv, Israel, shall be subject to the exclusive jurisdiction of the Tel Aviv District Court.
- Performance Location: All services rendered by the Astronomer under this Purchase Order shall be physically performed in Tel Aviv, Israel, unless otherwise agreed in writing by both parties. The Astronomer acknowledges that the Tel Aviv municipal bylaws regarding nighttime observation activities and light-pollution regulations shall apply to all fieldwork conducted within the city limits.
- Payment Terms: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Astronomer. Payment shall be made via bank transfer to the Astronomer's designated account in Israel. Late payments shall accrue interest at the rate prescribed by the Israeli Interest Law (5.75% per annum as of the date of this Purchase Order).
- Intellectual Property: All data, observations, and reports produced by the Astronomer specifically for the Buyer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Astronomer retains the right to publish general findings in peer-reviewed journals, provided that the Buyer's proprietary data is not disclosed without prior written consent.
- Confidentiality: The Astronomer agrees to maintain strict confidentiality regarding all proprietary research data, unpublished findings, and internal communications of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Insurance and Liability: The Astronomer shall maintain professional liability insurance with a minimum coverage of ILS 2,000,000, valid throughout the duration of this Purchase Order. The Astronomer shall be liable for any damage to the Buyer's equipment in Tel Aviv, Israel, caused by the Astronomer's negligence during the performance of services.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay the Astronomer for all services satisfactorily rendered up to the date of termination.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Tel Aviv, or restrictions imposed by the Israel Space Authority.
- Compliance: The Astronomer warrants that all services shall comply with the Israel Space Authority regulations, the Israeli Occupational Safety and Health Law, and all applicable municipal ordinances of the Tel Aviv-Yafo Municipality.
- Entire Agreement: This Purchase Order, together with any attached schedules and specifications, constitutes the entire agreement between the Buyer and the Astronomer regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements relating to the Astronomer's engagement in Tel Aviv, Israel.
