- Delivery Destination: All goods and services under this Purchase Order shall be delivered to the OSAO premises at Boulevard Latrille, Cocody, Abidjan, Ivory Coast. The seller, Astronomer International Ltd., assumes full responsibility for transportation, insurance, and customs clearance at the Port of Abidjan (Vridi) until the goods are physically received and inspected by the buyer.
- Delivery Schedule: Physical equipment (Items 01–04) shall arrive at the Abidjan facility no later than 30 August 2025. The on-site installation and training service (Item 05) shall commence within five (5) business days of equipment delivery and shall be completed within the same five-day window. The software license (Item 03) shall be activated electronically no later than 15 July 2025.
- Incoterms: This Purchase Order is governed by DDP (Delivered Duty Paid) Abidjan Port, 2020 edition of the International Chamber of Commerce Incoterms. Astronomer shall bear all costs and risks associated with delivery, including ocean freight, inland transport within Ivory Coast, and all applicable customs duties and taxes at the port of Abidjan.
- Inspection & Acceptance: Upon arrival in Abidjan, the buyer shall have ten (10) business days to inspect all delivered goods. Any defects, damage in transit, or non-conformity with the Astronomer product specifications must be reported in writing to Astronomer within this period. Failure to report within this window shall constitute acceptance of the goods.
- Payment Terms: A non-refundable deposit of 30% (30,258,480 XOF) is due within fifteen (15) business days of the buyer’s written acceptance of this Purchase Order. The remaining 70% (70,603,120 XOF) shall be payable within thirty (30) days following successful inspection and written acceptance of all delivered goods and completed services in Abidjan. Payment shall be made via irrevocable letter of credit issued by a bank operating in Abidjan, Ivory Coast, in favor of Astronomer International Ltd.
- Warranty: Astronomer warrants that all equipment supplied under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of acceptance in Abidjan. The Astronomer Technical Support & Maintenance Contract (Item 06) shall cover all repairs, parts replacement, and remote diagnostic support during this warranty period.
- Regulatory Compliance: The seller, Astronomer, confirms that all goods and software supplied comply with the import regulations of the Republic of Côte d’Ivoire, the standards of the Ivorian Standards and Quality Agency (ANOR), and all applicable West African Economic and Monetary Union (WAEMU/UEMOA) trade regulations. Astronomer shall provide all necessary certificates of origin, conformity, and phytosanitary documentation required for customs clearance at the Port of Abidjan.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, port strikes at Abidjan, government sanctions, or pandemics, provided that the affected party notifies the other in writing within five (5) business days of the occurrence.
- Governing Law & Dispute Resolution: This Purchase Order shall be governed by the laws of the Republic of Côte d’Ivoire. Any dispute arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties in Abidjan. Should negotiation fail within thirty (30) days, the dispute shall be referred to arbitration under the rules of the West African Court and Arbitration Centre (CACI) seated in Abidjan, Ivory Coast.
- Confidentiality: Both Astronomer and OSAO agree to maintain strict confidentiality regarding the pricing, technical specifications, and operational details contained in this Purchase Order. No information shall be disclosed to third parties without prior written consent, except as required by Ivorian law or regulatory authorities in Abidjan.
By signing below, the authorised representatives of both parties confirm that this Purchase Order for Astronomer products and services, to be delivered and performed in Abidjan, Ivory Coast, has been reviewed, agreed upon, and is binding upon both entities as of the date of issue.
