Terms and Conditions
- This Purchase Order is issued by Astronomer S.A. de C.V., a legally registered entity in Mexico Mexico City, and constitutes a binding procurement commitment upon written acceptance by the supplier.
- All goods and services referenced in this Purchase Order shall be delivered to the Astronomer facility located in Mexico Mexico City, México, at the address specified above. The supplier assumes full responsibility for international shipping, customs clearance in Mexico, and final delivery to the Mexico Mexico City site.
- Payment shall be processed in Mexican Pesos (MXN) within forty-five (45) calendar days from the date of a valid invoice submitted to the Astronomer accounts payable department in Mexico Mexico City. Late payments shall accrue interest at the rate established by the Banco de México.
- All Astronomer-branded equipment must comply with NOM (Norma Oficial Mexicana) standards and be certified for operation within the Mexican Republic. The supplier warrants that all items are free from defects for a period of twenty-four (24) months from the date of installation in Mexico Mexico City.
- The supplier shall provide a minimum of ten (10) business days' written notice prior to shipping. Astronomer reserves the right to inspect all goods upon arrival at the Mexico Mexico City receiving dock before accepting delivery.
- Any modifications, cancellations, or amendments to this Purchase Order must be made in writing and signed by authorized representatives of both Astronomer and the supplier. Verbal agreements are not valid under this Purchase Order.
- This Purchase Order is governed by the commercial laws of the United Mexican States. Any disputes arising from this Purchase Order shall be resolved through arbitration in Mexico Mexico City in accordance with the rules of the Cámara de Comercio de México.
- The supplier acknowledges that Astronomer operates in the Mexico Mexico City metropolitan region and that all on-site work must comply with local municipal regulations, environmental permits, and labor laws applicable in Mexico Mexico City.
- Confidentiality: All technical specifications, Astronomer proprietary data, and operational details shared in connection with this Purchase Order shall remain strictly confidential and shall not be disclosed to third parties without prior written consent from Astronomer management in Mexico Mexico City.
