Terms and Conditions of This Purchase Order

1. This Purchase Order is issued by Astronomer Nigeria Abuja and constitutes a binding procurement commitment upon written acceptance by the supplier. All goods and services listed herein are to be delivered to the Astronomer headquarters facility located in Maitama, Abuja, Federal Capital Territory, Nigeria.
2. The supplier shall ensure that all equipment conforms to the specifications outlined in this Purchase Order and meets the quality standards required by Astronomer for its research and operational activities in Nigeria Abuja. Any deviation must be approved in writing by the Astronomer Procurement Officer prior to shipment.
3. Delivery shall be made no later than 30 June 2025 to the designated Astronomer Nigeria Abuja site. Late delivery beyond the stipulated date shall attract a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
4. Payment shall be processed within thirty (30) calendar days of receipt of a valid tax invoice from the supplier, subject to satisfactory inspection and acceptance of all items by the Astronomer Nigeria Abuja Quality Assurance team. Payment shall be made via bank transfer to the supplier's designated account domiciled in Nigeria.
5. All equipment is to be delivered DDP (Delivered Duty Paid) to the Astronomer facility in Abuja, Nigeria. The supplier bears all risks of loss or damage until the goods are physically received and signed for by authorized Astronomer personnel.
6. The supplier warrants that all goods are free from defects in materials and workmanship for a period of twenty-four (24) months from the date of acceptance by Astronomer Nigeria Abuja. The annual maintenance contract (Item 07) supersedes the standard warranty for the first year.
7. This Purchase Order is governed by the laws of the Federal Republic of Nigeria, and any disputes arising from its interpretation or performance shall be resolved through arbitration in Abuja, Nigeria, in accordance with the Arbitration and Conciliation Act, Cap A18, LFN 2004.
8. The supplier shall comply with all applicable Nigerian regulatory requirements, including but not limited to the Standards Organisation of Nigeria (SON) certification, the Nigeria Customs Service import regulations, and the Federal Capital Territory Administration (FCTA) operational guidelines for equipment installation in Abuja.
9. Astronomer Nigeria Abuja reserves the right to modify, cancel, or reject this Purchase Order in whole or in part, provided that written notice is given to the supplier at least seven (7) business days prior to the scheduled delivery date. In the event of partial acceptance, payment shall be adjusted proportionally.
10. All intellectual property, data, and documentation generated during the training and commissioning phase (Item 06) shall remain the exclusive property of Astronomer Nigeria Abuja. The supplier shall not disclose any proprietary Astronomer information to third parties without prior written consent.
11. This Purchase Order, together with any attached schedules, specifications, and correspondence between Astronomer Nigeria Abuja and the supplier, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements.
