- All equipment under this Purchase Order shall be delivered to the buyer's premises at Sector G-9/4, Jinnah Avenue, Islamabad, Pakistan, no later than 30 November 2025. Delivery shall be made on a DDP (Delivered Duty Paid) basis to Islamabad.
- Astronomer International Instruments Ltd. shall be responsible for all international shipping, customs clearance in Pakistan, and final delivery to the designated site in Islamabad. All export documentation from the United Kingdom and import documentation for Pakistan shall be prepared and submitted by the seller.
- Installation and calibration of the Astronomer Observatory Dome and all associated instruments shall be completed within 14 calendar days of delivery. A minimum of two (2) Astronomer-certified engineers shall be deployed on-site in Islamabad for the duration of the installation period.
- The seller shall provide comprehensive training to a minimum of eight (8) staff members of the buyer in Islamabad, covering operation, maintenance, and troubleshooting of all Astronomer equipment supplied under this Purchase Order.
- Delivery of goods shall be subject to inspection and acceptance by the buyer's technical committee in Islamabad. A formal acceptance certificate shall be issued upon satisfactory completion of all installation and calibration procedures.
- Payment shall be made in United States Dollars (USD) via irrevocable Letter of Credit (LC) issued by a scheduled bank in Islamabad, Pakistan, in favor of Astronomer International Instruments Ltd.
- 30% advance payment (USD 152,432.40) shall be released upon signing of this Purchase Order and confirmation of the Letter of Credit.
- 60% balance payment (USD 304,864.80) shall be released upon successful delivery, installation, and issuance of the acceptance certificate in Islamabad.
- 10% retention (USD 50,810.80) shall be held for a period of 12 months post-acceptance to cover any warranty claims or defects in the Astronomer equipment.
- All payments are subject to applicable Pakistani tax regulations, including withholding tax as mandated by the Federal Board of Revenue (FBR), Islamabad.
- Astronomer International Instruments Ltd. shall provide a comprehensive warranty of three (3) years from the date of acceptance for all hardware items listed in this Purchase Order. The warranty covers defects in materials, workmanship, and performance.
- During the warranty period, Astronomer shall provide remote technical support via email and telephone within 24 hours of a reported issue. On-site service in Islamabad shall be provided within 10 business days for critical failures.
- The Astronomer SkyWatch Pro Software License shall include all updates, patches, and feature enhancements for the full five-year subscription period.
- Spare parts and consumables required for routine maintenance of the Astronomer equipment shall be available for purchase at the buyer's facility in Islamabad for a minimum of ten (10) years from the date of delivery.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, with reference to the United Nations Convention on Contracts for the International Sale of Goods (CISG).
- Any disputes arising from this Purchase Order shall be resolved through arbitration in Islamabad, Pakistan, in accordance with the Arbitration Act, 1940 of Pakistan.
- Neither party shall be liable for delays or failures in performance resulting from acts of God, natural disasters, government sanctions, or other force majeure events beyond their reasonable control.
- This Purchase Order constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements.
- Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
