4.1 Payment Terms: Payment for this Purchase Order shall be made within thirty (30) calendar days from the date of invoice issuance by Astronomer (Pty) Ltd. Payment shall be effected via electronic funds transfer (EFT) to the bank account specified in Section 2 above. 4.2 Delivery and Installation: Astronomer (Pty) Ltd shall deliver and install all hardware components and deploy all software licenses at the purchaser's premises located in Johannesburg, South Africa, no later than the Required Delivery Date stated above. Delivery within the Johannesburg metropolitan area is included at no additional cost. Any delays beyond the stipulated date shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.

4.3 Service Level Agreement (SLA): Astronomer shall maintain a minimum uptime of 99.9% for all managed infrastructure hosted in the Johannesburg data centre. The Gold Tier support package guarantees a response time of no more than one (1) hour for critical incidents and four (4) hours for standard issues, with support available twenty-four hours a day, seven days a week, from Astronomer's Johannesburg-based support centre.

4.4 Acceptance and Inspection: The purchaser reserves the right to inspect and test all items and services listed in this Purchase Order within five (5) business days of delivery. Any defects, non-conformities, or service shortfalls must be reported in writing to Astronomer within this period. Astronomer shall rectify any identified issues at its own cost within ten (10) business days of notification.

4.5 Intellectual Property and Licensing: All software licenses, modules, and proprietary tools provided by Astronomer under this Purchase Order remain the intellectual property of Astronomer (Pty) Ltd. The purchaser is granted a non-transferable, non-exclusive right to use the licensed products solely for internal business operations within South Africa during the subscription term.

4.6 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Johannesburg, South Africa, or alternatively resolved through arbitration under the rules of the Arbitration Foundation of Southern Africa (AFSA) in Johannesburg.

4.7 Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination by the purchaser without cause, a cancellation fee equivalent to 15% of the remaining contract value shall be payable to Astronomer. Termination due to Astronomer's material breach shall be without penalty to the purchaser.

4.8 Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, data, and business strategies exchanged in the course of fulfilling this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
