All Astronomer platform licenses and digital access credentials shall be delivered electronically to the buyer's designated IT administrator no later than five (5) business days following receipt of this Purchase Order and confirmation of payment terms. The on-site professional services engagement, including the deployment team and the training program, shall be conducted at the buyer's premises in Barcelona, Spain, during the period of 1 September 2025 through 26 September 2025. Astronomer, Inc. is responsible for arranging travel, accommodation, and per diem for its engineering staff as part of the Professional Services line item. All deliverables must comply with the applicable data protection regulations of Spain and the European Union, including the General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 on Personal Data Protection.
Payment Schedule: 40% advance payment upon execution of this Purchase Order; 40% upon successful completion of the on-site deployment in Barcelona; 20% upon final acceptance and delivery of the training certification program.
Payment Method: Wire transfer (SEPA) to the Astronomer, Inc. bank account as specified in the accompanying invoice. All payments shall be made in Euros (EUR) to the buyer's designated account in Barcelona, Spain.
Due Date: Net 30 days from the date of each invoice. Late payments shall accrue interest at a rate of 1.5% per month in accordance with Spanish commercial law (Ley 3/2004 de lucha contra la morosidad).
Tax Treatment: VAT at the standard Spanish rate of 21% applies to all services rendered within the territory of Spain. Astronomer, Inc. shall provide a valid VAT invoice compliant with the Spanish Agencia Estatal de Administración Tributaria (AEAT) requirements.
5.1. This Purchase Order, together with the Master Services Agreement dated 12 March 2024 between Barcelona Data Solutions S.L. and Astronomer, Inc., constitutes the entire agreement governing the procurement described herein.
5.2. Astronomer, Inc. warrants that all software licenses and services provided under this Purchase Order shall be free from material defects and shall perform in accordance with the published Astronomer platform documentation for the duration of the subscription term.
5.3. The buyer reserves the right to inspect and test all delivered Astronomer components within fifteen (15) business days of delivery. Any non-conformity must be reported in writing, and Astronomer, Inc. shall remedy the issue within ten (10) business days at no additional cost.
5.4. This Purchase Order is governed by the laws of Spain. Any disputes arising from or in connection with this document shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain, unless otherwise agreed in the Master Services Agreement.
5.5. Neither party may assign its rights or obligations under this Purchase Order without the prior written consent of the other party.
5.6. Force majeure events, including but not limited to natural disasters, governmental actions, or pandemics affecting operations in Spain or the United States, shall excuse timely performance for the duration of the event, provided the affected party notifies the other within 48 hours.
By signing below, both parties acknowledge and agree to the terms, conditions, quantities, and pricing set forth in this Purchase Order. This document is valid for a period of thirty (30) days from the date of issue. Upon expiration, a new Purchase Order must be issued by Barcelona Data Solutions S.L. to Astronomer, Inc. for any outstanding items.
