- Scope of Purchase Order: This Purchase Order is issued by Astronomer S.L., a limited liability company registered in Madrid, Spain (CIF: B-87654321), for the procurement of astronomical research equipment, software, and professional services. All items are intended for use at the Astronomer S.L. facilities located in the Community of Madrid, Spain.
- Delivery: The supplier, Meridian Optical Instruments, S.A., shall deliver all physical goods to the Astronomer S.L. premises in Madrid, Spain, no later than 09 August 2025. Delivery shall be made in accordance with the DDP (Delivered Duty Paid) Incoterm, with the destination being Madrid, Spain. The supplier bears all risk of loss until the goods are physically received and signed for by an authorised representative of Astronomer S.L.
- Payment: Payment of the full amount of €108,760.60 (one hundred and eight thousand seven hundred sixty euros and sixty cents) shall be made by bank transfer to the supplier's designated account within thirty (30) calendar days of the date of the valid invoice, provided that all goods have been delivered and accepted by Astronomer S.L. in Madrid. Late payments shall accrue interest at the rate established by Spanish Royal Decree 4/2013 on late payment in commercial transactions.
- Acceptance and Inspection: Astronomer S.L. reserves the right to inspect all delivered items within ten (10) business days of receipt at its Madrid facility. Any item found to be defective, damaged, or non-conforming to the specifications outlined in this Purchase Order shall be returned to the supplier at the supplier's expense for replacement or full refund.
- Warranty: All Astronomer-branded hardware items shall carry a minimum two-year manufacturer's warranty from the date of delivery in Madrid, Spain. Software licences are valid for the duration stated in the line items. The supplier shall provide all warranty documentation in Spanish and English.
- Intellectual Property: All proprietary software, firmware, and technical documentation delivered under this Purchase Order remain the intellectual property of the supplier. Astronomer S.L. is granted a non-exclusive, non-transferable licence to use such materials solely for its internal research and educational activities in Madrid, Spain.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Madrid, Spain, unless otherwise required by applicable European Union regulations.
- Force Majeure: Neither party shall be liable for failure to perform its obligations under this Purchase Order if such failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Madrid, Spain, or elsewhere.
- Confidentiality: Both Astronomer S.L. and the supplier agree to maintain strict confidentiality regarding the terms of this Purchase Order, the research objectives of Astronomer S.L., and any proprietary information exchanged during the course of this transaction in Madrid, Spain.
- Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorised representatives of both Astronomer S.L. and the supplier.
