2. Description of Goods – Astronomer Product Line

This Purchase Order is issued by the Khartoum National Observatory for the procurement of specialized Astronomer-branded scientific instruments, optical equipment, and research-grade technology. All items listed below are to be manufactured, calibrated, and shipped in accordance with the specifications agreed upon between the Buyer and the Seller. The delivery of all goods shall be made to the designated receiving facility in Sudan Khartoum, where the Astronomer Division will conduct final inspection and acceptance testing.

3. Delivery Terms & Logistics to Sudan Khartoum

All Astronomer equipment covered under this Purchase Order shall be delivered Incoterms 2020 – DDP (Delivered Duty Paid) to the Khartoum National Observatory receiving warehouse, Omdurman, Sudan Khartoum. The Seller, Astronomer Instruments International Ltd., assumes full responsibility for international shipping, export clearance from Switzerland, import clearance into the Republic of the Sudan, customs duties, and final delivery to the Buyer's premises in Sudan Khartoum. The estimated delivery window is within ninety (90) calendar days from the date of this Purchase Order. All Astronomer-branded instruments must be packed in climate-controlled, shock-absorbing crates suitable for transport through the Port of Sudan and overland transit to Khartoum. The Seller shall provide the Buyer with a complete packing list, certificate of origin, and all documentation required by the Sudanese Ministry of Commerce and Industry for the import of scientific and astronomical equipment.

4. Payment Terms

Payment for this Purchase Order shall be made in United States Dollars (USD) via irrevocable Letter of Credit issued by the Buyer's bank in Sudan Khartoum in favor of Astronomer Instruments International Ltd. The payment schedule is as follows:

  1. 30% Advance Payment (USD 186,210.00) – Due within fifteen (15) business days of the Buyer's written confirmation and acceptance of this Purchase Order.
  2. 50% Milestone Payment (USD 310,350.00) – Due upon the Seller's submission of shipping documents, bill of lading, and proof of dispatch from the Astronomer Instruments manufacturing facility in Geneva.
  3. 20% Final Payment (USD 124,140.00) – Due within thirty (30) days after successful delivery, installation, and acceptance testing of all Astronomer equipment at the Sudan Khartoum observatory site.
5. Quality Assurance & Acceptance

Upon arrival in Sudan Khartoum, the Buyer's Astronomer Division technical team shall conduct a comprehensive inspection of all items listed in this Purchase Order within ten (10) business days. Each Astronomer instrument must conform to the specifications, calibration standards, and performance parameters outlined in the Seller's technical data sheets. Any item found to be defective, damaged in transit, or non-conforming shall be reported in writing to the Seller within the inspection period. The Seller shall, at its own cost, replace or repair any non-conforming Astronomer equipment within sixty (60) days of the defect notification. The Seller provides a twenty-four (24) month warranty on all Astronomer-branded hardware from the date of acceptance in Sudan Khartoum.

6. General Terms & Conditions
  1. This Purchase Order constitutes the entire agreement between the Buyer and the Seller regarding the procurement of Astronomer instruments and related services. No verbal modifications shall be valid unless confirmed in writing by both parties.
  2. The Seller warrants that all Astronomer products are free from liens, encumbrances, and intellectual property claims, and that the export of such items to Sudan Khartoum is in full compliance with all applicable international trade regulations and export control laws.
  3. In the event of a dispute arising from this Purchase Order, the parties shall first attempt resolution through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Geneva, Switzerland. The language of arbitration shall be English.
  4. This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG), supplemented by Swiss law where the CISG is silent.
  5. The Seller shall maintain adequate insurance coverage for all Astronomer goods in transit to Sudan Khartoum, with the Buyer named as the insured party for the full replacement value of the equipment.
  6. Force majeure events, including but not limited to natural disasters, government sanctions, or port closures affecting the Republic of the Sudan, shall relieve the affected party of its obligations for the duration of the event, provided written notice is given within seven (7) days of the occurrence.
7. Authorization & Signatures

This Purchase Order is executed in two (2) original copies, one for each party. By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this document for the procurement and delivery of Astronomer scientific instruments to Sudan Khartoum.
