The supplier, Astronomer Scientific Instruments LLC, shall deliver all items listed in this Purchase Order to the Abu Dhabi Institute of Advanced Sciences facility located on Corniche Road, Al Markaziyah District, Abu Dhabi, United Arab Emirates, no later than 30 August 2025. Delivery shall be made during standard business hours (Sunday to Thursday, 08:00 to 16:00 GST). The supplier is responsible for all transportation, insurance, and customs clearance within the United Arab Emirates. Installation and calibration shall be completed within fourteen (14) calendar days of delivery. All equipment must be tested and certified operational in the presence of a designated representative of the Buyer before final acceptance is granted.
Payment TermsPayment shall be made in United Arab Emirates Dirhams (AED) via bank transfer to the supplier's designated account. The payment schedule is as follows: (a) thirty percent (30%) advance payment upon execution of this Purchase Order; (b) fifty percent (50%) upon confirmed delivery and successful installation at the Abu Dhabi site; and (c) the remaining twenty percent (20%) upon final acceptance and completion of operator training. All invoices must reference this Purchase Order number (PO-ADH-2025-04871) and shall be payable within thirty (30) days of receipt of a valid tax invoice compliant with the Federal Tax Authority of the United Arab Emirates regulations.
Terms and Conditions- This Purchase Order is governed by the laws of the United Arab Emirates and the specific commercial regulations of the Abu Dhabi Emirate. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Abu Dhabi, United Arab Emirates.
- The supplier, Astronomer Scientific Instruments LLC, warrants that all goods are free from defects in materials and workmanship for a minimum period of three (3) years from the date of acceptance, as further detailed in the Extended Warranty contract (Item 06).
- All equipment must comply with the standards set by the Emirates Authority for Standardization and Metrology (ESMA) and any applicable Abu Dhabi municipal regulations regarding scientific instrumentation and electromagnetic emissions.
- The supplier shall maintain full insurance coverage for all goods in transit and during installation within the Abu Dhabi Emirate. Risk of loss transfers to the Buyer only upon written acceptance.
- Neither party may assign or transfer this Purchase Order without the prior written consent of the other party. This Purchase Order constitutes the entire agreement between the parties regarding the subject matter herein.
- Any modifications, amendments, or cancellations to this Purchase Order must be made in writing and signed by authorized representatives of both the Abu Dhabi Institute of Advanced Sciences and Astronomer Scientific Instruments LLC.
- The supplier shall comply with all data protection and confidentiality obligations under the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, particularly regarding any operational data generated during installation and calibration.
- Failure to deliver by the stipulated date shall entitle the Buyer to a penalty of one percent (1%) of the total Purchase Order value per day of delay, up to a maximum of ten percent (10%), after which the Buyer may terminate this Purchase Order without further liability.
