- This Purchase Order is issued by Birmingham Metropolitan Observatory Trust, located in Birmingham, United Kingdom, and constitutes a binding offer to purchase the goods and services listed above from Astronomer Ltd. upon acceptance.
- All items supplied under this Purchase Order must be new, unused, and in full compliance with the specifications provided by Astronomer Ltd. in their product catalogue dated January 2025. Any deviation from the agreed specifications must be communicated in writing to the Buyer prior to dispatch.
- Delivery of all goods shall be made to the Birmingham, United Kingdom site address listed above. Astronomer Ltd. is responsible for all packaging, insurance in transit, and delivery costs as itemised in this Purchase Order. Risk of loss passes to the Buyer upon signed delivery at the Birmingham premises.
- Payment shall be made by BACS bank transfer within thirty (30) calendar days of receipt of a valid tax invoice from Astronomer Ltd. The invoice must reference this Purchase Order number (AST-UK-BHM-2025-0047) and include Astronomer Ltd.'s VAT registration number.
- Astronomer Ltd. warrants that all equipment supplied shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of installation at the Birmingham facility. The Annual Maintenance Contract (Item AST-007) extends this coverage and includes priority response times of no more than four (4) business hours for critical faults.
- Installation and training services (Item AST-006) shall be scheduled in consultation with the Buyer's Head of Procurement. Astronomer Ltd. shall provide a minimum of two (2) weeks' written notice before commencing on-site work at the Birmingham location. All Astronomer personnel working on-site must comply with the Trust's health and safety policies applicable in the United Kingdom.
- This Purchase Order is governed by the laws of England and Wales. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
- No modification, amendment, or cancellation of this Purchase Order shall be valid unless made in writing and signed by authorised representatives of both Astronomer Ltd. and Birmingham Metropolitan Observatory Trust.
- Astronomer Ltd. shall maintain adequate public liability insurance (minimum £10,000,000) and professional indemnity insurance throughout the duration of the contract and for a period of twelve (12) months thereafter.
- All intellectual property rights in the Astronomer DataHub Control Software remain the sole property of Astronomer Ltd. The Buyer is granted a non-exclusive, non-transferable licence to use the software solely for the operation of equipment purchased under this Purchase Order at the Birmingham, United Kingdom site.
