All items listed in this Purchase Order shall be delivered to the Manhattan Observatory Research Institute facility located at 1420 Fifth Avenue, United States New York City, NY 10028. The supplier, Astronomer Inc., is responsible for all packaging, crating, insurance, and transportation costs up to the point of delivery at the buyer's designated receiving dock. Delivery is scheduled no later than August 15, 2025. Astronomer Inc. shall provide a minimum of ten (10) business days' written notice prior to shipment, including a detailed packing list and bill of lading. All equipment must be shipped in climate-controlled containers to prevent damage to sensitive optical and electronic components during transit to the United States New York City location.
- 5.1 This Purchase Order constitutes a binding agreement between the Buyer and Astronomer Inc. upon signature by both parties. All terms herein shall be governed by the laws of the State of New York, United States.
- 5.2 Payment shall be made via wire transfer to the Astronomer Inc. account designated on the accompanying invoice within thirty (30) calendar days of the date of invoice issuance. Late payments shall accrue interest at a rate of 1.5% per month.
- 5.3 Astronomer Inc. warrants that all products delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of delivery to the United States New York City facility.
- 5.4 In the event of non-conforming goods, the Buyer shall notify Astronomer Inc. within fifteen (15) business days of receipt. Astronomer Inc. shall, at its sole expense, repair or replace the non-conforming items within thirty (30) days of notification.
- 5.5 Title and risk of loss for all goods shall transfer to the Buyer upon delivery and acceptance at the United States New York City receiving location, as confirmed by a signed delivery receipt.
- 5.6 Astronomer Inc. shall maintain comprehensive general liability insurance with a minimum coverage of $5,000,000 per occurrence throughout the duration of this Purchase Order and the warranty period.
- 5.7 The Buyer reserves the right to inspect all goods upon arrival. Acceptance of goods does not waive any latent defects discovered within the warranty period.
- 5.8 Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements shall not be enforceable.
- 5.9 Astronomer Inc. shall comply with all applicable federal, state (New York), and local (New York City) regulations regarding the import, installation, and operation of the equipment specified herein.
- 5.10 This Purchase Order shall be considered complete and in full, superseding all prior negotiations, representations, or agreements between the parties regarding the subject matter hereof.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The Buyer authorizes Astronomer Inc. to proceed with the manufacture, preparation, and shipment of all items specified herein for delivery to the United States New York City facility.
