All digital licenses, access credentials, and platform provisioning for the Astronomer services shall be delivered electronically within five (5) business days of full payment confirmation. On-site professional services, including the deployment in Venezuela Caracas and the training workshop, shall be scheduled no later than August 15, 2025. Astronomer, Inc. shall coordinate all logistics for personnel traveling to Caracas, Venezuela, including visa support documentation, accommodation at a five-star hotel in the Chacao district, and local transportation. The Buyer shall provide a dedicated workspace at its Caracas headquarters for the duration of on-site activities.
- Payment Schedule: 40% (USD $55,460.00) due upon execution of this Purchase Order; 40% (USD $55,460.00) due upon completion of platform deployment and successful system acceptance testing in Venezuela Caracas; 20% (USD $27,730.00) due upon completion of the training session and final project sign-off.
- Payment Method: International wire transfer (SWIFT) to Astronomer, Inc. designated account. All transfers shall be made in US Dollars. The Buyer shall bear any intermediary bank charges originating from Venezuela.
- Due Date: Each installment is due within fifteen (15) calendar days of the applicable invoice date. Late payments shall accrue interest at a rate of 1.5% per month.
- Currency and Exchange: All amounts are denominated in US Dollars. In the event that Venezuelan foreign exchange regulations (BCV) require conversion, the Buyer shall apply the official BCV reference rate on the date of transfer. Any discrepancy exceeding 5% shall be subject to mutual renegotiation.
- Tax Compliance: The Buyer is responsible for all applicable Venezuelan taxes, including IVA (VAT) at 16%, as well as any import duties or digital service taxes imposed by the Venezuelan government on foreign technology services.
- This Purchase Order is governed by the Master Service Agreement (MSA) between Astronomer, Inc. and Corporación Tecnológica del Caribe, C.A., dated March 3, 2025, and by the commercial laws of the State of California, United States, except where Venezuelan mandatory law applies to the Buyer's obligations within Venezuela Caracas.
- Astronomer, Inc. warrants that all platform services, software licenses, and professional services described herein shall be free from material defects and shall conform to the specifications outlined in the attached Statement of Work (SOW-AST-2025-0112).
- The Buyer shall maintain confidentiality of all Astronomer proprietary information, including platform architecture documentation, source code access, and internal tooling, in accordance with the mutual NDA executed on March 3, 2025.
- Either party may terminate this Purchase Order with thirty (30) days written notice in the event of a material breach by the other party that remains uncured after such notice period.
- All intellectual property developed specifically for the Buyer under Item 06 (Custom Plugin Development) shall be jointly owned, with Astronomer retaining the right to use generalized components in other deployments.
- Force majeure events, including but not limited to natural disasters, governmental sanctions, foreign exchange restrictions imposed by the Venezuelan government, or internet infrastructure failures in Venezuela Caracas, shall excuse timely performance for the duration of such event, provided the affected party notifies the other within 48 hours.
- Disputes arising from this Purchase Order shall first be subject to good-faith negotiation for a period of thirty (30) days. If unresolved, disputes shall be submitted to binding arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Miami, Florida, United States.
