  1. Delivery: All Astronomer products and services referenced in this Purchase Order shall be delivered to the University of Zimbabwe campus in Harare, Zimbabwe, no later than 30 August 2025. Delivery shall be made under DDP (Delivered Duty Paid) Harare terms, meaning Astronomer Scientific Instruments & Data Solutions (Pty) Ltd assumes full responsibility for transport, insurance, customs clearance, and all associated duties within Zimbabwe.
  2. Payment: Payment of the full grand total shall be made within forty-five (45) calendar days of the date of confirmed delivery and acceptance of all items at the Harare receiving facility. Payment shall be remitted via international wire transfer to the bank account designated by Astronomer in writing. The buyer shall bear any intermediary banking charges arising from the Zimbabwe-to-UK transfer.
  3. Acceptance and Inspection: Upon arrival in Harare, the buyer's designated technical team shall have ten (10) business days to inspect all Astronomer hardware items for damage, completeness, and conformance to the specifications outlined in this Purchase Order. Any discrepancies must be reported in writing to Astronomer within this period. Failure to report within the stipulated window shall constitute acceptance of the goods.
  4. Warranty: All Astronomer hardware products carry a minimum twelve-month manufacturer's warranty from the date of delivery in Harare. The extended three-year warranty (Item 07) supersedes the standard warranty and covers parts, labour, and remote diagnostic support. Software licences (Item 03) are valid for five (5) years from the date of first activation.
  5. Intellectual Property: All Astronomer proprietary software, firmware, and data management tools remain the intellectual property of Astronomer Scientific Instruments & Data Solutions (Pty) Ltd. The buyer is granted a non-transferable, non-exclusive licence to use the software solely for academic research and educational purposes at the University of Zimbabwe, Harare.
  6. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, trade embargoes affecting Zimbabwe, or pandemics. Affected parties must notify the other in writing within five (5) business days of the occurrence.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe. Any disputes arising from or in connection with this document shall be resolved through arbitration in Harare, Zimbabwe, in accordance with the rules of the Zimbabwe Arbitration Centre.
  8. Compliance: The buyer confirms that the procurement of Astronomer products under this Purchase Order complies with all applicable Zimbabwean government procurement regulations, the Public Procurement Act of Zimbabwe, and any relevant university internal procurement policies.
