This Purchase Order is issued by TransHive Financial Holdings (Pty) Ltd (hereinafter referred to as the "Client") to Meridian Audit & Assurance Group (Pty) Ltd (hereinafter referred to as the "Auditor") for the provision of independent statutory audit and assurance services in accordance with the Companies Act 71 of 2008 of the Republic of South Africa, the International Standards on Auditing (ISAs) as adopted by SAIPA, and the applicable financial reporting framework (IFRS as issued by the IASB). The Auditor shall conduct the full-year statutory audit of the Client's financial statements for the financial year ending 31 March 2025, with all fieldwork and reporting to be performed at the Client's principal place of business located in Johannesburg, South Africa, and at such other offices within the Gauteng province as may be reasonably required.

The Auditor shall commence fieldwork no later than 1 April 2025 at the Client's head office in Sandton, Johannesburg, South Africa. The interim review shall be completed by 30 September 2025. The final Auditor's report and management letter shall be delivered to the Client's Audit Committee no later than 15 July 2025. All on-site work shall be conducted at the Client's premises in Johannesburg unless otherwise agreed in writing. The Auditor shall ensure that all workpapers, documentation, and supporting evidence are maintained in accordance with SAIPA's quality control standards and the POB (Public Accountants and Auditors) Act 26 of 2004.
Payment shall be made in accordance with the following schedule, all amounts denominated in South African Rand (ZAR):

All payments shall be made via electronic funds transfer (EFT) to the bank account specified in Section 1. Invoices must reference this Purchase Order number (THF-2025-00847). Late payments shall attract interest at the rate of 10% per annum as per the Late Payment of Interest Act 3 of 2003 (South Africa).
- This Purchase Order constitutes a binding agreement between the Client and the Auditor upon countersignature by both parties. It is governed by the laws of the Republic of South Africa, and any disputes shall be subject to the exclusive jurisdiction of the High Court of South Africa, Gauteng Division, Johannesburg.
- The Auditor warrants that all professionals assigned to this engagement are duly registered with SAIPA and hold valid practising certificates. The Auditor shall maintain professional indemnity insurance of no less than R 5,000,000.00 for the duration of the engagement.
- The Auditor shall comply with all applicable South African legislation, including the Companies Act 71 of 2008, the POB Act 26 of 2004, the Protection of Personal Information Act (POPIA) 4 of 2013, and the Financial Intelligence Centre Act (FICA) 38 of 2001, particularly with regard to anti-money laundering obligations applicable in Johannesburg and the broader Gauteng region.
- The Auditor shall maintain strict confidentiality of all Client information, financial records, and trade secrets. Any breach of confidentiality shall entitle the Client to claim damages and terminate this Purchase Order immediately.
- The Client reserves the right to request reasonable amendments to the scope of work. Any material change in scope shall be documented in a written variation order signed by both parties prior to commencement of additional work.
- The Auditor shall not be engaged in any non-audit services that would impair independence as defined by SAIPA's Code of Professional Conduct without prior written consent from the Client's Audit Committee.
- All deliverables, including the Auditor's report, management letter, and working papers, shall be provided in both electronic (PDF) and hard-copy format. Hard copies shall be delivered to the Client's Sandton, Johannesburg office.
- This Purchase Order is valid for a period of twelve (12) months from the date of issue, after which it shall lapse unless renewed in writing by both parties.
- The Auditor shall submit a monthly progress report to the Client's CFO detailing hours worked, key findings, and any material issues identified during the audit process in Johannesburg.
By signing below, both parties acknowledge and agree to the terms, conditions, scope, and pricing set forth in this Purchase Order for the engagement of the Auditor in Johannesburg, South Africa.
