This Purchase Order is issued by Meridian Corporate Holdings Ltd. to formally engage the services of Blackstone & Whitfield Audit Partners LLP (hereinafter referred to as the Auditor) for the provision of comprehensive statutory and internal audit services. The Auditor shall conduct a full financial audit of the Purchaser's operations based in United Kingdom Birmingham, in accordance with the International Standards on Auditing (ISA) as adopted by the Auditing Practices Board of the Financial Reporting Council (FRC) in the United Kingdom. The engagement covers the financial year ending 31 March 2025 and includes all subsidiaries operating within the Birmingham metropolitan area and the wider West Midlands region.

- Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Auditor. The Auditor must confirm acceptance in writing within five (5) business days of receipt of this Purchase Order. Failure to respond within this period shall be deemed a rejection of this Purchase Order.
- Professional Standards: The Auditor shall perform all services in strict compliance with the FRC Ethical Standard, ISA (UK and Ireland), and the Companies Act 2006. The Auditor warrants that all work will be conducted with the independence, objectivity, and professional scepticism required of a registered Auditor practising in the United Kingdom.
- Location of Work: All on-site audit procedures, including physical inspections, interviews with staff, and examination of records, shall be conducted at the Purchaser's premises located at 42 Colmore Row, Birmingham, B3 2BB, United Kingdom, or at such other locations in Birmingham as mutually agreed in writing.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice from the Auditor, by bank transfer to the account specified on the invoice. The Auditor shall issue interim invoices at the 30-day and 60-day marks of the engagement. Late payment shall attract interest at the rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- Confidentiality: The Auditor acknowledges that, in the course of this engagement, they will have access to sensitive financial, operational, and strategic information of the Purchaser. The Auditor shall maintain strict confidentiality in accordance with the Data Protection Act 2018 and the UK GDPR. All documents and data shall be returned or securely destroyed upon completion of the audit, as directed by the Purchaser.
- Deliverables and Deadlines: The Auditor shall deliver the final audit opinion, management letter, and all supporting working papers no later than 30 June 2025. Interim progress reports shall be submitted to the Purchaser's Audit Committee on a monthly basis.
- Insurance and Indemnity: The Auditor shall maintain professional indemnity insurance of no less than £5,000,000 per claim throughout the duration of this Purchase Order. The Auditor shall indemnify the Purchaser against any loss arising from negligence, breach of professional duty, or failure to comply with applicable UK legislation.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Auditor shall be compensated for all work completed up to the date of termination, less any amounts already paid.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
- Entire Agreement: This Purchase Order, together with any attached schedules and the Auditor's standard terms of engagement, constitutes the entire agreement between the parties. No variation shall be valid unless made in writing and signed by both parties.
