This Purchase Order is issued by Tashkent Industrial Holdings LLP (hereinafter referred to as the "Buyer") to formally engage the services of Central Asian Audit & Assurance Partners LLP (hereinafter referred to as the "Auditor") for the conduct of a comprehensive statutory and operational audit of the Buyer's financial statements, internal controls, and compliance records for the fiscal year ending 31 December 2025. The Auditor shall perform all audit procedures in accordance with the International Standards on Auditing (ISA) as adopted by the Republic of Uzbekistan, as well as in compliance with the requirements set forth by the State Tax Committee of Uzbekistan and the National Agency of the Republic of Uzbekistan for the Development of the Capital Market.
The scope of the Auditor's engagement, as specified in this Purchase Order, includes but is not limited to: verification of the annual financial statements; review of internal control systems; assessment of tax compliance under the Tax Code of the Republic of Uzbekistan; evaluation of inventory and fixed asset valuations at the Buyer's manufacturing facilities located in Tashkent and the Tashkent Region; and preparation of a formal Auditor's Report to be submitted to the Buyer's Board of Directors and to the relevant regulatory authorities in Tashkent.

All prices are quoted in Uzbekistan Som (UZS) and are inclusive of all travel, accommodation, and on-site expenses incurred by the Auditor within the city of Tashkent and the Tashkent Region. Any services performed outside the Tashkent metropolitan area shall be subject to a separate written amendment to this Purchase Order.
- Governing Law: This Purchase Order and the Auditor engagement herein shall be governed by and construed in accordance with the Civil Code of the Republic of Uzbekistan, the Tax Code of the Republic of Uzbekistan, and applicable regulations of the State Tax Committee of Uzbekistan. Any disputes arising from this Purchase Order shall be resolved through the Tashkent City Arbitration Court.
- Payment Terms: The Buyer shall remit payment to the Auditor in three installments: (a) 40% (48,915,200 UZS) upon execution of this Purchase Order and commencement of fieldwork; (b) 40% (48,915,200 UZS) upon delivery of the draft Auditor's Report for the Buyer's review; and (c) 20% (25,457,600 UZS) within fifteen (15) business days of the final Auditor's Report being accepted by the Buyer's Board of Directors. All payments shall be made via bank transfer to the Auditor's designated account at a licensed commercial bank in Tashkent, Uzbekistan.
- Timeline: The Auditor shall commence fieldwork no later than 1 July 2025 and shall deliver the final Auditor's Report no later than 30 September 2025. The Auditor shall provide weekly progress reports to the Buyer's Finance Director at the Tashkent headquarters.
- Confidentiality: The Auditor agrees to maintain strict confidentiality over all financial records, trade secrets, and proprietary information of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Independence and Compliance: The Auditor warrants that it and its assigned audit team members are independent of the Buyer in accordance with the ethical standards of the Institute of Chartered Accountants of Uzbekistan and the International Ethics Standards Board for Accountants (IESBA). The Auditor shall not accept any engagement that would compromise its independence.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies declared in the Republic of Uzbekistan.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay the Auditor for all services rendered up to the date of termination, as documented in a mutually agreed timesheet.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Auditor services described herein. The Auditor confirms its acceptance of the scope, timeline, and compensation outlined in this document. The Buyer confirms its authorization to commit the funds specified in Section 2 of this Purchase Order.
