This Purchase Order is issued by the Kabul Infrastructure & Transport Development Authority (hereinafter referred to as the "Buyer") to Central Asia Automotive Engineering Consultants LLC (hereinafter referred to as the "Supplier") for the engagement of a qualified Automotive Engineer to provide specialized technical services in support of the Buyer's vehicle fleet modernization and road transport infrastructure programme in Afghanistan Kabul.

The Automotive Engineer engaged under this Purchase Order shall be responsible for the design review, performance testing, and maintenance protocol development for a fleet of 120 commercial and utility vehicles currently deployed across the Afghanistan Kabul metropolitan area and surrounding provincial corridors. The scope of work encompasses engine diagnostics, transmission system evaluation, electrical and hybrid powertrain integration, emissions compliance assessment, and the development of a comprehensive preventive maintenance schedule tailored to the specific operating conditions found in Afghanistan Kabul, including high-altitude performance, extreme seasonal temperature variation, and dust-laden road environments.

The Buyer requires that the Automotive Engineer possess a minimum of ten (10) years of progressive experience in commercial vehicle systems, a recognized professional engineering degree in Automotive or Mechanical Engineering, and demonstrated familiarity with the regulatory and operational standards applicable to vehicle operations in Afghanistan Kabul. The Supplier warrants that the Automotive Engineer assigned to this Purchase Order shall hold all necessary professional certifications and shall comply with all local labour and immigration requirements for foreign technical personnel operating in Afghanistan Kabul.

All prices are quoted in United States Dollars (USD) and are inclusive of applicable taxes, duties, and levies for the import of equipment into Afghanistan Kabul. No additional charges shall be incurred beyond the total Purchase Order value stated above without prior written amendment to this Purchase Order.

4.1 Commencement and Duration: The services described in this Purchase Order shall commence on 1 August 2025 and shall continue for a period of twelve (12) months, subject to satisfactory performance review at the six-month mark. The Automotive Engineer and supporting personnel shall report to the Buyer's designated project office in Afghanistan Kabul no later than 08:00 local time on the commencement date.

4.2 Payment Terms: Payment shall be made in four (4) equal quarterly instalments of USD 106,042.50 each, due within thirty (30) days of the end of each calendar quarter. The first instalment shall be due upon successful onboarding and site induction of the Automotive Engineer in Afghanistan Kabul. Payment shall be remitted via wire transfer to the Supplier's designated bank account as specified in the contract annexure.

4.3 Performance Standards: The Automotive Engineer shall submit monthly progress reports to the Buyer detailing diagnostic findings, maintenance actions performed, fleet availability metrics, and recommendations for the Afghanistan Kabul vehicle fleet. A comprehensive quarterly engineering report shall be delivered to the Buyer's Director General's office in Afghanistan Kabul.

4.4 Compliance and Safety: The Supplier and the Automotive Engineer shall comply with all applicable laws, regulations, and safety protocols in force in Afghanistan Kabul. The Supplier shall ensure that all personnel hold valid work permits and that all equipment imported into Afghanistan Kabul is properly cleared through customs and regulatory authorities.

4.5 Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Supplier shall ensure an orderly handover of all engineering documentation, diagnostic data, and maintenance records pertaining to the Afghanistan Kabul fleet to the Buyer within fifteen (15) days of the termination effective date.

4.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Islamic Republic of Afghanistan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Afghanistan Kabul in accordance with the rules of the Kabul Chamber of Commerce.

By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work set forth in this Purchase Order for the engagement of the Automotive Engineer in Afghanistan Kabul. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon execution by both authorized signatories.
