This Purchase Order authorizes the procurement of specialized professional services rendered by a qualified Automotive Engineer to support Andes Automotive Technologies S.A. in the design, analysis, and validation of next-generation vehicle platforms. All services shall be performed primarily at the company's engineering facility located in Argentina Buenos Aires, with the possibility of on-site inspections at partner manufacturing plants within the Greater Buenos Aires metropolitan area. The Automotive Engineer shall be responsible for the following deliverables and activities:

- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the Civil and Commercial Code of the Argentine Nation and all applicable regulations of the city of Argentina Buenos Aires. Any disputes arising from this Purchase Order shall be resolved in the competent courts of Argentina Buenos Aires, Capital Federal.
- Commencement Date: The Automotive Engineer shall commence services no later than 1 July 2025. A formal onboarding and site-access protocol at the Argentina Buenos Aires facility shall be completed within the first five (5) business days.
- Payment Terms: Payment shall be made in monthly installments via bank transfer (transferencia bancaria) to the account designated by the Automotive Engineer. Invoices must be submitted by the 5th business day of each month. Payment is due within fifteen (15) calendar days of invoice receipt. Late payments shall accrue interest at the rate established by the Banco de la Nación Argentina.
- Intellectual Property: All designs, simulations, reports, and technical documentation produced by the Automotive Engineer in the course of this Purchase Order shall be the exclusive property of Andes Automotive Technologies S.A. The Automotive Engineer grants an irrevocable, perpetual license for all pre-existing methodologies and tools incorporated into the deliverables.
- Confidentiality: The Automotive Engineer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and engineering data of the purchasing entity. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance: The Automotive Engineer warrants that all work shall comply with Argentine national standards (IRAM), the regulations of the Dirección Nacional de Transporte, and any applicable international automotive standards (ISO 26262, IATF 16949) as relevant to the project scope.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Automotive Engineer shall be compensated for all services rendered up to the effective date of termination, plus a pro-rata portion of any project-based fees for work in progress.
- Work Location: Primary work shall be conducted at the Andes Automotive Technologies S.A. headquarters in Argentina Buenos Aires. Travel to partner facilities within the Buenos Aires metropolitan area (including Zona Sur, Zona Norte, and the industrial corridor of La Plata) shall be pre-approved in writing and compensated at the rates specified in Item 03.
- Insurance and Liability: The Automotive Engineer shall maintain professional liability insurance (seguro de responsabilidad profesional) with a minimum coverage of ARS 50,000,000.00 throughout the duration of this Purchase Order. A certificate of insurance shall be provided prior to commencement.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Argentina Buenos Aires.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Automotive Engineer in Argentina Buenos Aires. This document constitutes a binding agreement effective upon the last signature.
