This Purchase Order is issued by Meridian Automotive Solutions Pty Ltd to engage Apex Engineering Consultancy Group to provide the services of a qualified Automotive Engineer for a defined period of professional consultancy. The Automotive Engineer shall be based in Australia Melbourne and shall report directly to the Purchaser's Chief Technical Officer. The scope of engagement includes but is not limited to: vehicle platform design review, powertrain systems analysis, emissions compliance testing in accordance with Australian Design Rules (ADR), advanced driver-assistance systems (ADAS) integration, and full-cycle prototype validation. All work shall be conducted in compliance with the Australian Consumer Law and relevant Victorian state regulations governing professional engineering services in Australia Melbourne.

The Automotive Engineer shall commence work on 1 July 2025 and complete all deliverables no later than 30 September 2025. All on-site work shall be performed at the Purchaser's facility located in Australia Melbourne, VIC 3000. Milestone deliverables are as follows: (a) Platform design review report due 15 July 2025; (b) Powertrain analysis and emissions compliance documentation due 15 August 2025; (c) ADAS integration validation report due 15 September 2025; (d) Final prototype validation summary and handover documentation due 30 September 2025. The Supplier warrants that the Automotive Engineer assigned to this Purchase Order holds a minimum of ten (10) years of relevant experience in automotive engineering and is registered with Engineers Australia.
Payment shall be made in accordance with the following schedule: 30% advance payment upon acceptance of this Purchase Order; 40% upon completion of Milestone (b); and 30% upon final acceptance of all deliverables. All invoices shall be submitted in Australian Dollars (AUD) and are payable within thirty (30) calendar days of receipt. Late payments shall attract interest at the rate prescribed under the Australian Consumer Law. Bank transfer details for the Supplier are to be provided on the first invoice. All payments are subject to the Purchaser's standard accounts payable procedures in Australia Melbourne.
- This Purchase Order is governed by the laws of the State of Victoria, Australia, and the Commonwealth of Australia. Any disputes shall be resolved in the courts of Australia Melbourne.
- The Supplier shall ensure that the Automotive Engineer maintains all necessary professional indemnity insurance (minimum AUD $10,000,000) and public liability insurance throughout the engagement period.
- All intellectual property, designs, reports, and documentation produced under this Purchase Order shall be the sole property of the Purchaser upon full payment.
- The Supplier shall comply with all applicable Australian workplace health and safety (WHS) regulations, including those administered by Safe Work Australia and the Victorian WorkSafe authority.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged in connection with this Purchase Order. This obligation survives termination for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Purchaser shall pay for all services rendered up to the date of termination.
- The Automotive Engineer shall not be engaged in any concurrent project that creates a conflict of interest with the Purchaser's operations in Australia Melbourne or elsewhere in Australia.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters affecting the Australia Melbourne region, pandemics, or government-mandated shutdowns.
- This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. The Supplier confirms that the Automotive Engineer identified in Section 2 is available and qualified to perform the services described. The Purchaser confirms that the funds for this Purchase Order have been allocated within the fiscal year 2025-2026 budget for the Australia Melbourne operations division.
