- This Purchase Order constitutes a binding agreement between Meridian Automotive Group Pty Ltd (the "Buyer") and Apex Automotive Engineering Solutions Pty Ltd (the "Supplier") for the provision of Automotive Engineer professional services as described herein.
- All services shall be delivered at the Buyer's facility located at 200 George Street, Australia Sydney NSW 2000, or at such other location within the Australia Sydney metropolitan area as mutually agreed in writing.
- The Supplier warrants that all Automotive Engineer personnel assigned to this Purchase Order shall hold current professional registration with Engineers Australia and possess a minimum of eight (8) years of relevant automotive industry experience.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate prescribed under the Australian Consumer Law (Competition and Consumer Act 2010, Cth).
- The Supplier shall comply with all applicable Australian workplace health and safety legislation, including the Work Health and Safety Act 2011 (NSW), while conducting work within the Australia Sydney region.
- All intellectual property, design documentation, simulation data, and test reports generated under this Purchase Order shall become the sole property of the Buyer upon full payment.
- The Supplier shall maintain professional indemnity insurance of no less than AUD $10,000,000 and public liability insurance of no less than AUD $20,000,000 for the duration of this engagement.
- Any variation to the scope of work, hours, or deliverables under this Purchase Order must be approved in writing by both parties prior to commencement of the varied work.
- This Purchase Order is governed by the laws of the State of New South Wales, Australia. Any disputes shall be resolved through the courts of Australia Sydney or by arbitration under the rules of the Australian Disputes Centre.
- The Supplier shall not subcontract any portion of the Automotive Engineer services without prior written consent from the Buyer.
- All data and information exchanged under this Purchase Order shall be treated as confidential in accordance with the parties' Non-Disclosure Agreement dated 01 March 2025.
Deliverables under this Purchase Order shall be submitted in stages as outlined in the attached Project Schedule (Appendix A). The Buyer shall have fourteen (14) business days from the date of submission to inspect and accept or reject each deliverable. Rejection must be communicated in writing with specific reasons. The Automotive Engineer team shall rectify any non-conformities within ten (10) business days of notification at no additional cost to the Buyer.
