This Purchase Order is issued by Brasília Automotive Solutions S.A. to formally engage the services of a qualified Automotive Engineer to provide specialized technical consulting, design validation, and performance optimization support for the company's next-generation electric vehicle platform. The Automotive Engineer shall be physically based in Brazil Brasília, District Federal, and shall report directly to the Vice President of Engineering at the Brasília headquarters facility.
The scope of work encompasses the following deliverables: (a) comprehensive powertrain architecture review for the BSA-EV7 platform; (b) thermal management system design validation; (c) NVH (Noise, Vibration, and Harshness) analysis and mitigation strategies; (d) compliance verification in accordance with INMETRO and ANTEC regulatory standards applicable in Brazil; and (e) preparation of technical documentation for homologation proceedings before the Ministry of Development, Industry, Trade and Services (MDIC) in Brasília.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Federative Republic of Brazil (Lei nº 10.406/2002) and all applicable federal and District Federal (DF) regulations in force in Brazil Brasília at the time of execution.
- Commencement Date: The Automotive Engineer engagement shall commence on 01 July 2025 and shall continue for a period of six (6) consecutive months, subject to renewal by mutual written agreement.
- Work Location: All services shall be rendered at the Brasília Automotive Solutions S.A. facility located in the Setor de Autarquias Sul, Brazil Brasília, DF, or at such other location within the District Federal as mutually agreed in writing.
- Payment Schedule: Invoices shall be submitted on the last business day of each month. Payment shall be made via bank transfer (TED/PIX) within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the rate of 1% per month plus SELIC index, in accordance with Brazilian commercial law.
- Intellectual Property: All designs, analyses, reports, and technical documentation produced by the Automotive Engineer in the course of this engagement shall be the exclusive property of Brasília Automotive Solutions S.A. The vendor shall execute all necessary assignment documents upon request.
- Confidentiality: The vendor and the Automotive Engineer(s) engaged under this Purchase Order shall maintain strict confidentiality of all proprietary information, trade secrets, and technical data in accordance with the Non-Disclosure Agreement (NDA) dated 01 June 2025, executed in Brazil Brasília.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' prior written notice. In the event of termination for convenience, the vendor shall be compensated for all services rendered up to the effective date of termination.
- Warranty of Services: The vendor warrants that the Automotive Engineer engaged shall hold a minimum of a Bachelor's degree in Mechanical, Electrical, or Automotive Engineering from an accredited Brazilian institution (reconhecido pelo MEC) and shall possess a minimum of ten (10) years of professional experience in the automotive sector.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved by arbitration seated in Brazil Brasília, DF, in accordance with the rules of the CAMARB (Câmara de Mediação e Arbitragem do Brasil), conducted in the Portuguese language.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions in Brazil Brasília, or pandemics, as defined under Article 393 of the Brazilian Civil Code.
By signing below, the authorized representatives of both parties acknowledge and accept all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Automotive Engineer services in Brazil Brasília.
