This Purchase Order is issued by Northwest Automotive Solutions Inc. (hereinafter referred to as the "Buyer") to Coastal Engineering & Design Group Ltd. (hereinafter referred to as the "Vendor") for the engagement of a qualified Automotive Engineer to provide specialized technical consulting, design validation, and systems integration services. All services described in this Purchase Order shall be performed in and around the Canada Vancouver metropolitan area, specifically within the boundaries of the City of Vancouver and the surrounding Metro Vancouver region in the Province of British Columbia, Canada. The Buyer requires the Vendor to supply a senior-level Automotive Engineer with a minimum of ten (10) years of demonstrated experience in powertrain systems, advanced driver-assistance systems (ADAS), and electric vehicle (EV) platform architecture.

3.1 This Purchase Order constitutes a binding agreement between the Buyer and the Vendor upon full execution by both parties. All terms herein shall be governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in the jurisdiction of Canada Vancouver.

3.2 The Automotive Engineer assigned to this Purchase Order must hold a valid Professional Engineer (P.Eng.) license issued by the Association of Professional Engineers and Geoscientists of British Columbia (APEGBC) and must maintain all required professional liability insurance with a minimum coverage of CAD $5,000,000 per occurrence.

3.3 All work deliverables, including but not limited to design schematics, simulation outputs, test reports, and compliance documentation produced under this Purchase Order, shall become the exclusive intellectual property of Northwest Automotive Solutions Inc. upon full payment of the Purchase Order balance.

3.4 The Vendor shall ensure that the Automotive Engineer complies with all applicable Canadian occupational health and safety regulations, including the Work Safety and Insurance Act (British Columbia), and shall adhere to all site-specific safety protocols at the Buyer's Canada Vancouver premises located at 1200 Granville Street.

3.5 Payment shall be made within thirty (30) days of receipt of a valid invoice referencing this Purchase Order number (PO-2025-04871). Invoices must be submitted in Canadian Dollars (CAD) and must include the Vendor's GST/HST registration number. Payment shall be processed via electronic funds transfer (EFT) to the Vendor's designated bank account in Canada Vancouver.

3.6 The Vendor reserves the right to substitute the assigned Automotive Engineer with a qualified replacement of equivalent or superior credentials, provided that prior written notice of no fewer than five (5) business days is given to the Buyer and the replacement meets all qualifications specified in Section 1 of this Purchase Order.

3.7 Any changes to the scope, duration, or deliverables outlined in this Purchase Order must be documented in a formal Change Order signed by authorized representatives of both parties. No additional work shall be performed or compensated without such a Change Order.

3.8 This Purchase Order is subject to the Vendor's standard terms and conditions of service, provided that in the event of any conflict, the terms stated in this Purchase Order shall prevail.

Services under this Purchase Order shall commence on July 1, 2025, and are expected to be completed no later than September 30, 2025. The Automotive Engineer shall report to the Buyer's Canada Vancouver office no later than 8:30 AM Pacific Time on each scheduled workday. A detailed project milestone schedule shall be provided by the Vendor within ten (10) business days of the commencement date.

This Purchase Order is valid only for the specific services and quantities listed herein. It does not constitute a blanket or standing order. All communications regarding this Purchase Order shall be directed to the procurement department of Northwest Automotive Solutions Inc. in Canada Vancouver.
