2. Scope of Purchase — Automotive Engineer Services

This Purchase Order is issued by Beijing Automotive Technology Group Co., Ltd. (hereinafter referred to as the "Buyer") to procure the professional services of a qualified Automotive Engineer for the duration of the contract period specified herein. The Automotive Engineer shall be assigned to the Buyer's primary research, development, and manufacturing facility located in China Beijing, specifically at the Haidian District Advanced Vehicle Engineering Campus. The scope of work encompasses the full lifecycle of automotive product development, including but not limited to powertrain system design, chassis engineering, advanced driver-assistance systems (ADAS) integration, vehicle dynamics simulation, and compliance testing in accordance with China's national automotive standards (GB standards) and international ISO 26262 functional safety requirements.

The Automotive Engineer engaged under this Purchase Order shall possess a minimum of ten (10) years of progressive experience in automotive engineering, with demonstrated expertise in electric and hybrid vehicle platforms. The engineer shall hold a Master's degree or higher in Mechanical Engineering, Automotive Engineering, or a closely related discipline from an accredited institution. All work deliverables shall be produced at the designated China Beijing project site, and the Automotive Engineer shall be physically present at the China Beijing facility for a minimum of five (5) working days per week, subject to the operational schedule established by the Buyer's project management office.

4. Terms and Conditions
  1. Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. All disputes arising from or in connection with this Purchase Order shall be resolved through arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in China Beijing.
  2. Commencement and Duration: The Automotive Engineer shall commence duties at the China Beijing project site no later than 1 August 2025. The engagement period shall be twelve (12) consecutive months, subject to renewal by mutual written agreement of both parties.
  3. Payment Schedule: Payment shall be made in quarterly installments of CNY 1,017,000.00 (inclusive of VAT), due within thirty (30) calendar days of the Buyer's receipt of a valid invoice from the Supplier. The first installment shall be due upon confirmed commencement of the Automotive Engineer's duties in China Beijing.
  4. Performance Standards: The Automotive Engineer shall deliver all engineering work products in accordance with the project specifications outlined in Annex A (attached separately). Failure to meet agreed milestones for two (2) consecutive reporting periods shall constitute a material breach of this Purchase Order.
  5. Intellectual Property: All designs, prototypes, test data, and documentation created by the Automotive Engineer in the course of performing services under this Purchase Order at the China Beijing facility shall be the sole and exclusive property of the Buyer. The Supplier warrants that no third-party intellectual property rights shall be infringed.
  6. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged in connection with this Purchase Order. The Automotive Engineer shall be bound by a non-disclosure agreement (NDA) executed prior to commencing work in China Beijing.
  7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Supplier shall be compensated for all services rendered up to the effective date of termination, and the Automotive Engineer shall complete all outstanding deliverables within thirty (30) days.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government regulatory changes in China Beijing, or public health emergencies.
  9. Compliance: The Automotive Engineer shall comply with all applicable labor laws, safety regulations, and environmental standards in force in China Beijing. The Supplier is responsible for all statutory social insurance contributions and tax withholdings applicable to the Automotive Engineer's employment in the People's Republic of China.
5. Acceptance and Authorization

By signing below, both parties acknowledge and accept all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Automotive Engineer at the China Beijing facility. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
