This Purchase Order is issued by Nile Delta Automotive Industries S.A.E. to formally procure the professional services of a qualified Automotive Engineer to be deployed at our manufacturing and R&D facility located in the industrial corridor of Egypt Alexandria. The Automotive Engineer shall be responsible for the design, testing, quality assurance, and continuous improvement of our passenger vehicle drivetrain components, including but not limited to transmission assemblies, braking systems, and electric powertrain integration modules. The scope of engagement is specifically tailored to the operational requirements of our Alexandria-based production line, which serves the broader Egyptian and North African automotive market.

- Commencement: The Automotive Engineer services shall commence no later than 1 July 2025 at the buyer's facility in Egypt Alexandria. Any delay beyond this date shall be subject to a penalty of 0.5% of the monthly contract value per day of delay, up to a maximum of 10%.
- Payment Schedule: Payment shall be made in quarterly installments via bank transfer to the supplier's designated account with the National Bank of Egypt, Alexandria Branch. Invoices must be submitted by the 5th of each quarter's final month. Payment terms are Net 30 days from invoice receipt.
- Performance Bond: The supplier shall provide a performance bond equivalent to 10% of the total Purchase Order value, issued by a licensed Egyptian bank, valid for the duration of the contract plus 90 days.
- Compliance: The Automotive Engineer and all supporting personnel must comply with Egyptian labor law (Law No. 12 of 2003), local Alexandria municipal regulations, and the buyer's internal health, safety, and environmental (HSE) protocols. All work permits and professional licenses must be current and verifiable by the Alexandria Governorate's Technical Affairs Office.
- Intellectual Property: All designs, CAD models, test data, and technical documentation produced under this Purchase Order shall remain the exclusive property of Nile Delta Automotive Industries S.A.E. The Automotive Engineer shall sign a non-disclosure and IP assignment agreement prior to commencing work.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination for convenience, the buyer shall pay for all services rendered up to the termination date. In the event of termination for cause (material breach), the supplier shall refund 50% of the final quarter's payment.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes shall be resolved through arbitration at the Egyptian Arbitration Center in Alexandria, in accordance with its rules of procedure.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Egypt Alexandria, or pandemics, provided written notice is given within 72 hours of the event.
- Insurance: The supplier shall maintain professional indemnity insurance of no less than EGP 5,000,000 and workers' compensation coverage for the Automotive Engineer and any subcontracted personnel for the full term of this engagement.
- Reporting: The Automotive Engineer shall submit a detailed weekly progress report every Friday by 17:00 EET to the buyer's Project Management Office in Egypt Alexandria, and a comprehensive monthly technical summary by the 3rd business day of the following month.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of the Automotive Engineer services described herein, to be executed at the buyer's premises in Egypt Alexandria, subject to all terms and conditions stated above.
